About Us:

As we continue to expand our global presence, we are seeking a talented and dedicated Senior Corporate Counsel to join our legal team.


The Corporate Counsel will be responsible for managing and negotiating a wide range of contracts and legal agreements across various business functions, while also maintaining and protecting the company's intellectual property (IP) portfolio. This role will require a strong understanding of commercial law, IP law, excellent drafting and negotiation skills, and the ability to provide strategic legal guidance in a fast-paced, innovative environment. Key Responsibilities:
  • Contract Drafting & Negotiation: Draft, review, and negotiate a variety of domestic and cross border contracts, including commercial agreements, vendor and supplier contracts, partnership agreements, NDAs, distribution agreements, licensing agreements, service contracts, etc.
  • IP Portfolio Creation and Management: Liaise with external legal teams globally to ensure the creation, protection, maintenance, and strengthening of Ultrahuman’s IP portfolio, including patents, trademarks, designs and copyrights.
  • Legal Advisory: Provide sound legal advice and counsel to business teams on contract terms, risks, and mitigation strategies to ensure compliance with applicable laws and regulations.
  • Fundraising Support in fundraising efforts, including venture capital financing, private equity, and other investment opportunities.
  • Risk Management: Identify, assess, and advise on potential legal risks in contract negotiations and transactions, offering solutions to minimize liability and protect the company’s interests.
  • Cross-functional Collaboration: Work closely with business stakeholders, including the procurement, product, marketing, sales, and operations teams, to ensure contracts align with business objectives and regulatory requirements.
  • Compliance & Best Practices: Ensure that contracts comply with relevant laws and company policies, including data privacy, IP protection, and regulatory guidelines.
  • Contract Lifecycle Management: Manage the entire contract lifecycle, from initial drafting through execution and renewal, including maintaining contract templates and databases.
  • Dispute Resolution: Assist in managing contract-related disputes, including negotiations, mediation, and, if necessary, liaising with external counsel for litigation.
  • Continuous Improvement: Stay up-to-date with relevant laws, regulations, and industry standards to ensure the company’s contractual practices are current and legally sound.

Qualifications:
  • Bachelor’s degree in law (LLB or equivalent); advanced legal qualification (LLM or equivalent) preferred.
  • 10+ years of experience in corporate law, with a strong focus on contracts, IP, and commercial transactions.
  • Experience in the health tech, wearable technology, or consumer electronics industry is a plus.
  • Familiarity with the regulatory landscape of the consumer health industry. 
  • Previous experience in a leadership role within a legal department of a startup.
  • Proven experience drafting and negotiating a wide range of commercial agreements and managing IP portfolios.
  • Strong understanding of data privacy laws, intellectual property rights, and regulatory compliance.
  • Excellent communication, analytical, and problem-solving skills.
  • Ability to work independently and manage multiple projects in a fast-paced, startup environment.
  • High level of professionalism, integrity, and accountability.
