Job Description

CharteredPartners is seeking an experienced transaction services professional to join our client in Sydney at Senior Manager level. The successful candidate will manage financial due diligence engagements on buy-side and vendor mandates, running fieldwork, shaping the analysis and acting as the day-to-day lead between partners and the client. Specific qualifications, regulatory fluency and technical breadth are detailed in the sections that follow.

Key Responsibilities:

  • Manage buy-side and vendor financial due diligence engagements, planning fieldwork and supervising the analyst and junior team.
  • Prepare and review quality of earnings analysis, normalising EBITDA and identifying one-off and non-recurring items.
  • Analyse net debt, working capital and cash flow trends and articulate their implications for price and structure.
  • Draft clear, well-evidenced diligence reports and data books for private equity and corporate clients.
  • Act as day-to-day liaison with target management, advisers and the partner group on live engagements.
  • Apply AASB and IFRS to interrogate financial information and challenge management representations.
  • Coach junior team members and contribute to proposals and pitch materials.

Required Qualifications and Skills:

  • CA (CAANZ) or CPA Australia membership, ideally complemented by the CFA.
  • Six or more years in transaction services, financial due diligence or audit moving into deals, including time at Manager or Senior Manager level.
  • Strong command of quality of earnings, net debt and working capital analysis.
  • Fluency in AASB and IFRS and the ability to interrogate complex financial statements.
  • Understanding of the ASX environment and ASIC regulatory context as they bear on transactions.
  • Experience preparing diligence deliverables for private equity and corporate acquirers.
  • Sound grasp of SPA mechanics, completion accounts and locked-box mechanisms.
  • Strong project management and the ability to run concurrent engagements to deadline.
  • Excellent written and spoken English and confident client communication.
  • A developing record of supervising and mentoring junior staff.

Preferred Experience:

  • Exposure to FIRB-relevant inbound transactions and foreign-investment considerations.
  • Experience with superannuation and infrastructure buyer requirements.
  • Sector depth in technology, consumer, healthcare, mining services or financial services.
  • Familiarity with lender and sponsor diligence on leveraged deals.
  • Prior experience within a recognised global accounting-firm deals practice.
  • Exposure to cross-border transactions across the Asia-Pacific region.

Compensation:

Competitive package commensurate with seniority and experience, including base, performance-based bonus, long-term incentives and (where applicable) partner-track participation.
