Job Description

CharteredPartners is seeking an experienced transaction services professional to join our client in Hong Kong at Director level. The successful candidate will lead financial due diligence engagements across Greater China and the Greater Bay Area, directing buy-side and vendor diligence teams and owning the quality of earnings analysis that underpins deal decisions. Key Responsibilities:

  • Lead buy-side and vendor financial due diligence engagements, scoping the work, directing fieldwork and reviewing deliverables for technical rigour.
  • Own the quality of earnings analysis, normalising EBITDA and isolating recurring from one-off items to inform valuation and price.
  • Analyse net debt, working capital and cash flow to support SPA mechanics, completion accounts and locked-box positions.
  • Translate diligence findings into clear implications for deal price, structure and risk for acquirers, vendors and lenders.
  • Manage relationships with private equity sponsors, corporate acquirers and sponsor banks across Greater China and the GBA.
  • Direct and develop diligence teams, reviewing data books and financial analysis under IFRS and HKFRS.
  • Support partners on business development, proposals and the conversion of diligence work into broader advisory mandates.

Required Qualifications and Skills:

  • HKICPA membership, or an equivalent recognised qualification such as ACA, ACCA or CPA, ideally complemented by the CFA.
  • Ten or more years in transaction services, financial due diligence or audit-to-deals transition, including time at Director or Senior Manager level.
  • Authoritative command of quality of earnings, net debt and working capital analysis.
  • Strong understanding of the HKEX listing environment and the SFC Codes on Takeovers and Mergers as they bear on transactions.
  • Fluency in IFRS and HKFRS and the ability to interrogate complex consolidations.
  • Proven experience structuring and delivering diligence reports for private equity and corporate clients.
  • Sound grasp of SPA mechanics, completion accounts and locked-box mechanisms.
  • Excellent project management, with the ability to run multiple concurrent engagements to deadline.
  • Strong written and spoken English, with the credibility to present findings to boards and investment committees.
  • A track record of leading and mentoring diligence teams.

Preferred Experience:

  • Mandarin fluency for Greater China counterparties and target management teams.
  • Experience of cross-border deals connecting the GBA with ASEAN, Europe or North America.
  • Exposure to IPO-related financial reporting and reporting accountant work for HKEX listings.
  • Sector depth in technology, consumer, real estate, healthcare or financial services.
  • Prior experience within a recognised global accounting-firm deals practice.
  • Familiarity with sponsor and lender diligence requirements on leveraged transactions.

Compensation:

Competitive package commensurate with seniority and experience, including base, performance-based bonus, long-term incentives and (where applicable) partner-track participation.
