Job Description

Purpose of the role

To negotiate and execute lending transactions (acquisitions, general corporate purposes, refinances and material amendments) and where relevant provide co-ordination services to the borrower.  

Accountabilities

  • Negotiation of terms and coordination of lending transactions, including syndicated loans, structured finance deals, and other corporate lending activities.  .
  • Ensure documented terms reflect internal signoffs and meet Barclays’ key policies and procedures, across credit risk, pricing, portfolio, legal, sanctions, reputational, compliance and operational considerations.   .
  • Minimise risk of impairment and financial loss, negotiating terms that provide Barclays and the lenders generally with appropriate protections during the life of the loan and in any enforcement scenario.    .
  • Drive market standards including adherence to key LMA and other market principles, avoiding contagion risk and slippage of terms away from established principles.
  • Maintenance of accurate records of transactions and regular reporting for internal and external stakeholders.    .
  • Identification of areas of inefficiency in the transaction process and developing solutions to improve efficiency and monitor the impact of process improvements.    .

Transaction Manager

You’ll join a team that delivers some of Barclays’ most complex and high‑value lending transactions, shaping debt solutions for clients across the globe. As a Transaction Manager, you’ll own the end‑to‑end execution of complex bilateral, multibank, event‑driven and large‑scale corporate loans, supporting a wide range of colleagues across, mid-corporate, large-corporate and investment banking. Ensuring that each deal is structured, negotiated and delivered in a way that is commercially strong, operationally sound and acceptable from a risk and control perspective. If you thrive on autonomy, high‑stakes decision‑making and working at the centre of major financing activity, this role gives you the platform to make a visible impact. As a global role, you’ll collaborate with teams and clients across Europe, the Middle East, Africa, the US and Asia. That means this isn’t a typical 9–5 — you’ll sometimes be required to flex your schedule with early mornings or late evenings to keep complex, high‑value transactions moving at pace.

Some key responsibilities you will have include:

  • End‑to‑end transaction ownership — independently lead documentation and execution, partnering with Structuring, Coverage, Portfolio, Credit and Legal.
  • Risk identification and mitigation — review opportunities to ensure structural, legal, credit and regulatory risks are understood, mitigated and approved.
  • Term sheet and facility negotiation — prepare and negotiate term sheets, long‑form facility agreements and supplementary documents.
  • Syndicate management — coordinate lender groups and liaise with their deal teams to ensure smooth and timely closings.
  • Deal closing and handover — sign and close transactions, ensuring seamless transition to operational teams for booking and funding.
  • External stakeholder engagement — manage clients, banks, legal counsel and advisors to meet demanding timelines.
  • Market and legal awareness — stay current on UK and international market trends and legal developments, sharing insights with the TM team.
  • Coordination services leadership — pitch and deliver Barclays’ market‑leading negotiation and coordination services for club and syndicated deals.
  • Deadline management — navigate tight and conflicting timelines in a fast‑moving transactional environment.

To be successful as a Transaction Manager, you should have experience with:

  • Debt structuring — strong understanding of loan products, structures and market standards.
  • Loan documentation negotiation — experience leading term sheet, facility agreement and intercreditor negotiations.
  • Risk analysis — ability to assess structural, legal, regulatory and credit risks across complex transactions.
  • Leverage finance and project finance transactions — experience working on leveraged buyouts, sponsor‑led deals or highly structured financings and familiarity with long‑tenor, asset‑backed or infrastructure‑related financing structures.

Some other highly valued skills may include:

  • Macro‑economic awareness — understanding of market trends and factors influencing global debt markets.
  • Loan origination exposure — familiarity with originating or supporting new lending opportunities.
  • Back‑office loan processes – knowledge of booking, funding and operational workflows
