IBMC is assisting a client in hiring a vital legal and transactional operational leader. Our client is a premier real estate and luxury villa development group dedicated to crafting high-end, buildable, and culturally aligned properties across Southeast Asia. Powering seamless land acquisitions, complex foreign direct investment (FDI) structures, and regulatory compliance, they are expanding their elite footprint across key regional paradise destinations.

We are seeking a highly proactive, detail-oriented, and execution-driven Transaction & Legal Operations Manager (Lawyer) to lead legal workflows, real estate transaction pipelines, and compliance operations. Based permanently on-site in Lombok, this is a deeply practical and strategic role that blends corporate legal oversight, land due diligence, leasehold/PT PMA setups, and local authority coordination. Your goal is to de-risk real estate acquisitions, maintain contract flow, and ensure fully compliant execution on the ground.

Key Responsibilities

Transaction & Contract Management

• Prepare, review, and manage high-volume real estate transaction documentation, including long-term leasehold agreements, land purchase contracts, and property management agreements for international investors.
• Manage corporate legal operations for Foreign Direct Investment (PT PMA) structures, ensuring swift contract turnarounds to align with investment and development timelines.
• Support procurement and corporate operations by drafting, validating, and managing vendor, contractor, and operational contracts.

Land Due Diligence & Agrarian Compliance

• Lead comprehensive land due diligence, verifying land titles, spatial zoning (RTRW), and title conversions (BPN/PPAT) across development sites in Lombok.
• Mitigate real estate transaction risks by resolving boundary verifications, title overlap risks, and local land rights (Sporadik) in close coordination with local authorities.
• Oversee and maintain strong working relationships with local Notaries (PPAT), village chiefs (Kepala Desa), and agrarian offices.

Regulatory Compliance & Licensing

• Oversee corporate licensing, operational permits, and regulatory compliance under Indonesian law and local government regulations (Pemda).
• Direct tax and legal structuring related to land and property transactions (BPHTB, PPH, and local land taxes).
• Serve as the legal safeguard for all site acquisitions, ensure strict adherence to statutory rules, and maintain auditable corporate legal records.

Cross-Functional Coordination & Investor Support

• Serve as the primary legal liaison between internal development, finance, project management, site operations, and external legal/notarial consultants.
• Provide clear, practical legal counsel to foreign investors and internal executives on Indonesian real estate laws, foreign ownership rules, and transactional risks.
• Coordinate seamlessly with finance and project development leadership to ensure legal milestones align with funding and execution schedules.

Requirements

• Education: Bachelor’s or Master’s degree in Law (S.H. / LL.M.). Advocate license (PERADI) is strongly preferred.
• Legal Experience: Minimum 3–5 years of professional experience in legal counsel, corporate legal operations, contract management, or transactional legal support roles.
• Industry Background: Direct, practical experience working in a real estate, property development, or construction company is strictly required.
• Real Estate Expertise: Solid understanding of Indonesian Agrarian Law, PT PMA setups, long-term leaseholds, land title conversions, and local PPAT notary procedures.
• Regulatory Knowledge: Strong understanding of local building permits, regional land zoning, foreign investment regulations, and tax implications on real estate transactions.
• Contractual Precision: Proven ability to review, draft, and negotiate complex legal agreements, spot transactional errors, and maintain flawless legal documentation.
• Communication & Language: Excellent legal drafting and verbal communication skills in both English and Bahasa Indonesia to interface effectively with international investors, internal teams, and local authorities.
• Presence & Mobility: Would be required to visit office once - twice per month in Lombok.

Nice-to-Haves / Bonus Points

• Prior hands-on experience in legal transaction management for high-end villa developments, luxury resorts, or boutique hospitality projects in Lombok, Bali, or wider Indonesia.
• Deep familiarity with local Lombok land dynamics, local government administrative procedures, and community relations in Central and South Lombok.
