The role

We are seeking a US Tax Manager to lead tax workstreams across acquisitions, divestitures, joint ventures, and strategic investments for a growing data center platform.

This role will support the Global Tax Director who is based in the UK by owning US transaction structuring, integration planning, and post-deal compliance across Federal and State income taxes, sales & use tax, incentives, property and personal property taxes.

The role will partner closely with Corporate Development, the Data Centre Execution, Legal, Finance, and Operation teams to ensure that tax risks and opportunities are managed.

Main responsibilities

M&A and Structuring

  • Support with US tax structuring for acquisitions, disposals, joint ventures and reorganizations.
  • Support with modelling assumptions and the impacts of transactions, including cash tax, ETR, tax basis step-ups, and purchase price allocation support.
  • Assess and manage limitations on tax attributes including IRC 382/383, IRC 163(j), and state-specific restrictions.
  • Review and negotiate tax provisions in transaction documents (SPAs/APAs), including indemnities and covenants.
  • Lead post-acquisition integration and legal entity rationalization from a tax perspective.

Federal and State Income Tax

  • Oversee federal and multi-state income and franchise tax compliance.
  • Manage nexus, apportionment, combined/unitary filing considerations, and PTE tax regimes.
  • Track and manage tax attributes including NOLs, credits, and interest carryforwards.
  • Support tax accounting and provisioning across IFRS and US GAAP.

Sales & Use Tax and Incentives

  • Manage sales and use tax structuring, registrations, exemptions, and compliance related to data center construction and operations.
  • Lead qualification, documentation, and ongoing compliance for data center incentive programs.
  • Work closely with the business to monitor incentive performance requirements including capital investment, employment, and sustainability obligations and support with reviewing contracts to support the ability to maximize claims.
  • Support audits, refund claims, and controversy management.

Property and Personal Property Tax

  • Oversee real property and business personal property tax filings across multiple jurisdictions.
  • Manage asset classification and valuation strategies for data center assets to minimize assessments.
  • Coordinate appeals and manage external property tax advisors with the operation teams.

Governance and Stakeholder Management

  • Develop and maintain playbooks, policies, and controls for US sites.
  • Prepare clear technical memoranda and processes for teams to follow.
  • Manage external advisors, including scope, budget, and deliverables.

Qualifications and experience

  • Bachelor’s degree in Accounting, Finance, Tax, or related field.
  • 6–10+ years of US tax experience with a strong focus on M&A.
  • Deep technical knowledge of US Federal and State corporate and partnership tax.
    Experience with sales & use tax and property/personal property tax.
  • Data center, real estate, infrastructure, or capital-intensive industry experience preferred.

Key Competencies

  • Strong commercial judgment and ability to translate technical issues and implementing this into business processes.
  • Proven project management capability in fast-paced, transaction-driven environments.
  • Demonstrated ability to manage multiple projects simultaneously and prioritize effectively in a fast-paced environment.
  • Experience coordinating external tax advisors, managing deliverables, and overseeing budgets.
  • Excellent communication and stakeholder management skills.
