Parsons seeks an outstanding legal leader to join the company as the SVP/Assistant Corporate Secretary and who will serve as a key member of the legal team, reporting directly to Parson’s Chief Legal Officer.

This role will have responsibility for supporting the Chief Legal Officer and Corporate Secretary in performing his duties related to the company’s SEC/public company reporting, securities, board corporate governance and compliance as well as M&A transactions and will serve as a resource and partner broadly across the organization with key functions including finance, and investor relations. In addition, this role is expected to partner on other key corporate legal matters including antitrust, ESG, human rights among other government contracting and commercial matters.

This individual must be a business savvy lawyer with the legal background and interpersonal skills required to function successfully in a highly visible and legally challenging and rewarding position in a growth oriented, sophisticated, and global public company. This person will be a senior lawyer reporting to the Chief Legal Officer with frequent, meaningful interactions with the C-Suite and Board of Directors.

Principal Responsibilities

  • Assist with company compliance regarding applicable securities regulations; support the planning and preparing SEC filings (in conjunction with outside counsel when needed), including the Company’s proxy statement; 10-Q’s, 10-K’s, 8-K’s, Form 4’s and earnings materials and other presentations as well as maintaining the internal governance calendar.
  • Help prepare, organize and disseminate Board prereading materials, draft and maintain board minutes and resolutions; track actions and decisions made by the Board of Directors; and ensure compliance with statutory and regulatory requirements.
  • Serve as the lead business counsel to finance, treasury, tax, and internal audit and manage legal aspects of capital markets transactions and assisting with other banking and investment matters.
  • Support key M&A and business transactions, including the planning, negotiation and implementation of mergers, acquisitions and similar strategic transactions.
  • Build strategic and commercial partnerships with outside counsel and put in place a strong governance model to optimize the quality, performance and cost of services of outside counsel.

Qualifications

The position requires an accomplished attorney who is self-motivated and results-oriented, eager to take on new challenges and able to succeed within a high performing environment.

  • JD and 10+ years of legal experience in a law firm and/or in-house.
  • Experience with corporate governance for publicly traded companies, including expertise in securities laws and related disclosure requirements and a track record of preparing complex SEC filings.
  • Strong judgment and executive presence; excellent interpersonal, communication and influencing skills.
  • A track record of establishing followership through optimism, energy, empathy and focus to engage and motivate a high-performing legal organization.
  • Exhibit a low-ego, humble, hands-on approach, with a bias for listening, confidence to push back, and the ability to offer alternative viewpoints as needed.
  • Possess significant experience advising large, complex clients on diverse legal and business matters and excel as a relationship builder who inspires trust and confidence among senior leaders, board members, peers, and team members.
