EDUCATION AND EXPERIENCE

  • Minimum 10 years of legal experience, with significant in-house or corporate counsel experience.
  • Experience as General Counsel or senior in-house counsel strongly preferred along with demonstrated expertise in corporate governance, regulatory compliance, ethics, contracts, and financial services law.

JOB SUMMARY

  • The Deputy General Counsel is part of the enterprise level legal strategy team for Capital Credit.
  • This role would assist in overseeing corporate governance, regulatory engagement, standards of conduct, litigation, contracts, and strategic initiatives.
  • This role serves as a key advisor to executive leadership and the Board, drives legal risk management, and reduces reliance on outside counsel.
  • The Deputy GC ensures compliance, supports enterprise transactions, and develops long term succession depth within the Legal department.

ESSENTIAL FUNCTIONS

  • Advise executive leadership and the Board on corporate governance, policy, and compliance matters.
  • Oversee, draft, and negotiate corporate contracts and enterprise agreements.
  • Manage litigation strategy, coordinate outside counsel, and monitor legal risk.
  • Lead regulatory engagement, compliance collaboration, and policy development.
  • Provide guidance on HR matters, standards of conduct, and internal policies.
  • Oversee legal strategy for distressed credit resolution and complex transactions.
  • Support strategic transactions and enterprise-level initiatives.
  • Develop succession planning and depth within the Legal department.
  • Monitor evolving legal and regulatory requirements to anticipate business impact.
