NATURE AND SCOPE:

Reports to the Vice President, Senior Counsel. Supports Landmark’s associates by providing advice in day-to-day legal matters, managing assigned on-going legal projects, and working pro-actively to help achieve organizational initiatives. This position leads the daily work of a Legal Analyst and advises on and participates in matters relating to the following: contract management and negotiation, contract disputes, corporate governance; and other transactional and operations day-to-day matters.

REQUIREMENTS:
1. Doctor of Jurisprudence (JD) degree and recognized bar admission. Must be in good standing.
2. A minimum of 2 years of experience gained in a law firm and/or in-house. A combination of education and experience may be considered.
3. Experience in drafting, negotiating and interpreting contracts.
4. Proven ability to conduct and analyze legal research to determine applicable legal principles.
5. Excellent verbal and written communication skills, and the proven ability to work across various departments and levels in an organization.
6. Demonstrated experience balancing multiple priorities and managing a variety of projects in a high volume work environment with strong attention to detail.
7. Demonstrated ability to work effectively and autonomously with minimum supervision.
8. Experience with dispute resolution, litigation, financial institutions and regulatory compliance preferred.
9. Must develop a thorough understanding of company policies and procedures as they relate to the position. Must understand and comply with all job-related state and federal laws and regulations.

PRINCIPAL ACCOUNTABILITIES:
1. Negotiates, drafts and reviews agreements and contracts on behalf of the company; advises on associated legal risks, opportunities and liabilities.
2. Offers counsel and serves as a resource for legal matters to associates; researches, assesses, and monitors new developments; communicates relevant information to ensure familiarity with requirements.
3. Develops and provides training to associates on legal topics, including fiduciary relationships, account ownership and death distributions.
4. Develops and maintains expert knowledge and understanding of laws and regulations affecting financial institutions.
5. Researches and anticipates unique legal issues that could impact the company and communicates to appropriate stakeholders.
6. As assigned, oversees dispute management, including claims and litigation management (e.g., responding to subpoenas, working with outside counsel to respond to discovery).
7. Provides assistance to Senior Counsel and executive team on various due diligence, assignments and projects as assigned.
8. Assists in managing outside counsel in various matters, including representation of the company in litigation before courts and administrative tribunals, including reviewing the preparation of briefs and other court documents.
9. Performs other duties as assigned.
