About This Role

We are looking for a proactive and detail-oriented Litigation Staff Attorney to support all aspects of litigation matters at Textron Systems, with a particular focus on commercial litigation and disputes. The Litigation Staff Attorney will also provide support to Textron Systems and its business lines in products liability cases, and advise on corporate governance matters, contract issues, regulatory inquiries, and commercial transactions. The successful candidate will have strong analytical skills, excellent writing and communication abilities, and prior litigation experience. This role will report to the Associate General Counsel for litigation and will be based in Hunt Valley, MD.

Responsibilities

·Litigation:

oRepresent and counsel Textron Systems and its business lines in all phases of litigation matters.

oWork with and oversee outside counsel to ensure alignment with business objectives.

oReview and help prepare pleadings, motions, and discovery requests/responses.

oPrepare for and attend mediations, court hearings, and trials.

oKeep internal business teams updated on the status of and strategy for litigation matters.

·Corporate Governance:

oProvide advice, guidance, and support on corporate governance matters.

oAssist in the preparation and review of corporate filings, resolutions, and related documents.

oEnsure compliance with corporate governance-related regulatory and legal requirements.

·Commercial Transaction Support:

oWork with business partners and other members of the Legal Department to identify legal risks and issues in commercial proposals and ongoing programs.

oPerform legal review of contract terms and conditions for a wide variety of domestic and international agreements.

oSupport complex transactions for Textron Systems’ programs and businesses in the U.S. and abroad.

oParticipate in negotiations with customers, suppliers, and business partners.

·Other:

oProvide training to various departments and teams on litigation and corporate governance topics.

oProvide advice on FAA regulatory matters.

oStay up to date on relevant changes in laws, regulations, court rules, and policies.

oAdditional legal support and special projects, as needed.

Qualifications

·Required Qualifications:

oJuris Doctor (J.D.) from an accredited law school.

oActive admission to and in good standing with a state bar.

o2+ years of litigation experience.

oStrong knowledge of litigation practice, including motions, discovery, trial, appeals, and alternative dispute resolution.

oExcellent drafting, negotiation, problem-solving, and communication skills.

oSound business acumen with the ability to balance legal risk with commercial priorities.

oComputer literacy, including competency with Microsoft Office applications (Outlook, Word, Excel, and PowerPoint) and legal research tools (Westlaw and/or LexisNexis).

oU.S. citizen or permanent resident alien, with the ability to obtain/maintain a DoD security clearance.

oAbility and willingness to participate in frequent domestic travel and occasional international travel.

·Preferred Qualifications:

oPrior litigation experience at a law firm and/or through a judicial clerkship/internship.

oExperience in commercial litigation and products liability cases.

oExperience managing e-discovery and legal holds.

oExperience working on matters in the aerospace and defense industry.

oExperience with state business entity registrations and qualifications.
