Reporting to the Assistant General Counsel, this role will serve as a trusted legal advisor to businessleadersacrosstheorganization,providingpractical,risk-basedlegalcounselthatsupports the Company's strategic and operational objectives.
The successful candidate will primarily support the Company's commercial contracting activities, including drafting, reviewing, negotiating, and advising on a broad range of commercial agreements. This individual will collaborate closely with teams across Sales, Purchasing, InformationTechnology,Finance,HumanResources,andotherfunctionstodevelop practical solutions that appropriately balance legal risk with business objectives. Therolealsooffersopportunitiestosupportstrategicinitiatives,regulatorymatters, corporate governance, mergers and acquisitions, and other special projects.
Draft,review,negotiate,andadviseonabroadrangeofcommercialagreements,including customer and supplier agreements, information technology and SaaS agreements, software licensing, professional services agreements, NDAs, and other commercial transactions.
Adviseinternalstakeholdersoncommercialcontracttermsinvolvingdataprivacy,cybersecurity, artificial intelligence, intellectual property, confidentiality, and related legal and business risks.
Providetimely,practicallegaladvicethatenablesbusinessteamstomakeinformeddecisions while appropriately managing legal and commercial risk.
Partnercloselywithbusinessleaderstounderstandoperationalobjectivesanddevelopcreative, solution-oriented legal strategies.
Interpretandadviseonapplicablelaws,regulations,andemerginglegaldevelopmentsaffecting the Company's business and commercial operations.
Develop,improve,andmaintaincontracttemplates,playbooks,policies,andlegalprocessesthat enhance efficiency and consistency.
Collaboratewithcross-functionalteamstosupportstrategicbusinessinitiativesandcontinuous improvement efforts.
Assistwithdisputepreventionandresolution,includingadvisingbusinesspartnersoncontractual rights, obligations, and risk mitigation strategies.
Supportcorporategovernance,mergersandacquisitions,financingtransactions,andother strategic legal matters, as needed.

Juris Doctor (J.D.) from an accredited law school.
Active license to practice law in Ohio.
Fivetosevenyearsofrelevantlegalexperienceatalawfirm,in-houselegaldepartment,ora combination of both.
Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements.
Experienceadvisingclientsorbusinesspartnersoncommerciallegalissues,includingtechnology transactions, data privacy, cybersecurity, and related regulatory considerations.
Abilitytoindependentlymanagemultipleprioritiesinafast-pacedenvironmentwhileexercising sound business judgment.
Provenabilitytobuildtrustedrelationshipsandeffectivelycollaboratewithcross-functional business teams.
Experience supporting manufacturing, industrial, or publicly traded companies.
ExperiencewithAI-relatedcontractingandgovernance,includingcommercialcontracting involving artificial intelligence technologies.
Experiencesupportingmergersandacquisitions,corporategovernance,orothercorporate transactions.
Experiencedevelopingcontracttemplates,negotiationplaybooks,orlegaloperations improvements.
