About TMF Group

TMF Group is a leading provider of critical administrative services, helping clients invest and operate safely around the world. Our 11 000+ experts and 125+ offices in 87 jurisdictions worldwide serve corporates, financial institutions, asset managers, private clients and family offices, providing the combination of accounting, tax, payroll, fund administration, compliance and entity management services essential to global business success

Discover the Role

Join the UK Trustee team in a senior, technical role managing a portfolio of corporate trustee appointments across structured finance and debt capital markets transactions. You will act as the primary day-to-day contact for clients and transaction parties, interpret trustee rights and obligations under complex finance documents, manage amendments and distressed transactions, and help strengthen the team’s technical capability. We expect a strong knowledge of UK trustee roles, responsibilities and market standards.

Key Responsibilities

  • Manage a portfolio of trustee appointments, maintaining a clear understanding of transaction structures, key documents, parties, obligations, deadlines and risk profile
  • Act as a day-to-day contact for clients, legal advisers, arrangers, investment banks, agents and other transaction parties, leading calls and meetings where appropriate
  • Review transaction documents before and after closing to identify trustee-specific duties, protections, conditions, information requirements and operational actions, escalating material legal or risk issues through the appropriate internal channels
  • Translate executed document requirements into practical closing checklists, diary items, controls and ongoing administration procedures
  • Manage amendments, waivers, consents, restructurings, defaults, enforcement preparations and termination processes, coordinating internal approvals and external advice as required
  • Draft and review trustee correspondence, notices, certificates, confirmations and in-house agreements, and coordinate execution in accordance with delegated authorities and internal procedures
  • Complete and maintain accurate matter records, including transaction data, contacts, executed documents, approvals, key decisions and material correspondence
  • Support client acceptance, KYC and onboarding by providing complete transaction information and resolving trustee-specific queries promptly
  • Record time accurately in the relevant system.
  • Maintain an overview of work in progress, billing, recoverability and aged debt for the portfolio, identifying out-of-scope activity early and supporting fee proposals or variations
  • Serve as an escalation point for complex operational and client matters, taking ownership of resolution and ensuring that significant issues are reported promptly
  • Guide junior colleagues through transaction reviews and live matters, share technical knowledge and contribute to consistent allocation, quality control and resilience across the team
  • Identify and implement improvements to trustee procedures, templates, controls and systems, with a focus on reducing key-person dependency and improving service consistency
  • Contribute to business development by scoping opportunities, assisting with fee proposals, supporting pitches and identifying appropriate additional services for existing clients
  • Maintain current knowledge of relevant market practice, legislation and regulation, and translate developments into practical guidance or training for the team

Key Requirements

  • At least five years’ relevant experience at a corporate service provider or legal firm working on the corporate trustee, security trustee, note trustee side.
  • Demonstrable experience reviewing and interpreting transaction documents, including trust deeds, security documents, agency agreements, note purchase agreements, intercreditor agreements and loan agreements
  • A clear knowledge of provisions affecting the trustee’s duties, discretions, protections, indemnities, information rights, liability and operational obligations, and an ability to communicate clear review points to clients and legal counsel
  • Experience managing amendments, waivers, consents, restructurings, defaults or other non-routine events during the life of a transaction
  • Sound commercial judgement, including identifying out-of-scope work, supporting fee discussions and balancing client service with contractual and risk parameters
  • Experience of portfolio oversight, work-in-progress review, billing, recoverability and annual budgeting is desirable
  • A degree at 2:1 level or above, or equivalent professional experience; a legal or finance background is preferred
  • Strong written and spoken English, with the ability to explain complex documentation and risk issues clearly to technical and non-technical stakeholders

What’s in it for you?

  • A visible role in a specialist UK Trustee team, with direct responsibility for clients and complex live transactions rather than an administrative remit
  • Exposure to a varied portfolio of structured finance and debt capital markets matters, including transaction closings, amendments, restructurings and stressed situations
  • The opportunity to shape working practices, strengthen technical standards and help build a resilient, scalable trustee service in the UK
  • Regular interaction with clients, law firms, arrangers, agents and other market participants, providing a strong platform for deepening sector knowledge and professional relationships
  • Structured learning through TMF Business Academy, supported by practical coaching on transaction documentation, risk assessment, portfolio management and client development
  • Health and wellbeing support, including access to wellbeing resources, mental wellbeing learning and gym-membership discounts, subject to eligibility
  • Access to TMF Group’s international network, enabling collaboration on cross-border transactions and knowledge sharing with colleagues in other jurisdictions
  • A workplace pension with up to 6% employer contributions
  • Flexible and remote working arrangements, subject to the requirements of the role, client commitments and TMF policy
  • Private medical insurance for permanent employees, with the option to add eligible family members at the employee’s cost, subject to the insurer’s terms
  • Life assurance providing a death-in-service benefit of four times salary, subject to eligibility and the applicable scheme terms
  • Permanent health insurance providing longer-term income protection in the event of qualifying illness or injury, subject to insurer acceptance and scheme terms
  • 25 days annual leave and UK public holidays, together with the opportunity to buy additional annual leave in accordance with TMF policy

We’re looking forward to getting to know you!
