Senior Manager - Transaction Management

Location: Singapore

The position

Global Capital Markets provides a full suite of trustee and agency services to the international debt capital markets. Our mandate spans bonds, loans, project finance, securitisations, escrow arrangements, covered bonds and property trusts.

We act in key fiduciary and agency capacities including trustee, security agent, facility agent, paying agent and escrow agent. In doing so, we support complex cross-border transactions across a wide range of structures, including new issuances and distressed debt restructurings.

The role operates at the centre of the transaction lifecycle, working closely with capital providers (including banks and funds), legal counsel and financial advisers. Each mandate is bespoke, requiring strong technical expertise, sound judgement and a deep understanding of capital markets structures and documentation.

Key Responsibilities:

You will take a lead role in transaction execution, documentation review and stakeholder coordination, ensuring transactions are structured and implemented in line with internal policies and operational capabilities.

  • Lead the review and negotiation of transaction documentation across complex and structured deals
  • Ensure alignment between contractual terms and the scope of appointed roles and services
  • Assess transaction structures for operational feasibility, identifying risks, gaps and areas requiring internal clearance
  • Provide practical, solution-oriented input on deal structure, mechanics and execution
  • Coordinate onboarding processes including documentation completeness, execution and satisfaction of closing deliverables (e.g. CP/CS, security perfection, charge registration)
  • Act as a key liaison with issuers, borrowers, lenders, bondholders and their advisors across the lifecycle of transactions, including amendments and restructurings
  • Oversee loan drawdowns, including verification of conditions precedent and coordination with lenders’ counsel; track and follow up on conditions subsequent
  • Lead or support lender and stakeholder discussions where interpretation of documentation is required
  • Build and manage relationships with internal stakeholders (legal, compliance, operations, tax) to ensure seamless transaction execution and ongoing administration
  • Provide technical guidance and mentorship to junior team members on documentation, structure and deal mechanics
  • Ensure adherence to internal control frameworks and regulatory requirements
  • Support the Head of Capital Markets in enhancing procedures, improving operational efficiency and driving service quality
  • Contribute to global initiatives, including new product development and process improvements
  • Assist with management reporting and compliance-related matters

Skills, Experience and Qualifications

  • 7–10 years of relevant experience in banking, corporate trust or capital markets transaction management
  • Strong technical knowledge of structured finance, loan administration and bond trusteeship.
  • Proven ability to analyse complex structures and documentation, with strong attention to detail
  • Commercially minded with sound judgement and problem-solving capabilities under time pressure
  • Strong interpersonal and stakeholder management skills, with experience engaging counterparties and advisors
  • Demonstrated ability to manage multiple transactions and deadlines concurrently
  • Leadership capability, including experience guiding or mentoring junior team members
  • Excellent written and verbal communication skills in English; Chinese language capability is advantageous

Preferred Background

  • Legal, Banking & Finance or related discipline
  • Experience in cross-border transactions and multi-jurisdictional structures is highly advantageous
