-Be the primary point of contact for all client-related legal matters in the UK and EMEA.
-Draft, review, and negotiate commercial contracts with clients, partners/affiliates, suppliers, and other parties in line with MVF’s Risk Management Structure.
-Update and maintain a contract management system, including an efficient onboarding process and logging and storing of all contracts.
-Proactively identify and liaise with key stakeholders in the business regarding market trends in contract terms.
-Create, update and maintain standard contracts and other documentation, including privacy policies and website terms and conditions in line with relevant legal requirements and market trends.
-Where appropriate, develop and maintain contract ‘playbooks’ (e.g. for other team members), especially with respect to UK and ROW legal aspects.
-Respond to ad-hoc queries from the business and advise and support the DPO and business on a wide variety of privacy advertising, and data/consumer protection matters that apply to MVF’s global activities in the UK and other relevant markets.
-Working with the wider legal team and external tools/resources, proactively monitor legal developments that will create opportunities or risks to MVF, particularly with respect to the Advertising Standards Agency in the UK, and collaborate with key stakeholders on activities or projects that arise as a result.
-In consultation with the DPO and US Senior Counsel, create and maintain guidance and self-help collateral.
-Respond to ad-hoc queries from the business and advise and support the business on a wide variety of commercial and regulatory matters in the UK and other relevant markets.
-Undertake legal research in the UK and other relevant jurisdictions and coordinate with external resources in order to advise the business and create easy-to-read training documents that can be used by the business.
-Create and maintain a legal knowledge hub that the business can use to access training materials, advice and guidance
-Prepare and deliver training sessions and materials for the business on a broad range of general commercial matters, including consumer protection, advertising and marketing; data privacy and protection; commercial contracts; and contract management.
-Support the credit team with debt collection.
-Advise on IP matters, including contentious matters and portfolio management activities.
-Support the People Team on employment matters that arise in the normal course of business, particularly with respect to the UK and ROW.
-Lead on ad-hoc projects and legal matters that arise in specialist areas as supported by external counsel (and other suppliers) where appropriate.
-As directed by the General Counsel and in consultation with the Head of Risk and other key stakeholders, create and maintain corporate policies to support appropriate legal compliance and good governance.
-Where required, lead relevant governance fora to manage go-to-market activities or other strategic initiatives in line with the Risk Management Structure.
-Support the General Counsel with legal and compliance due diligence and transaction support on acquisitions, dispositions and capital raisings.
-Lead key workstreams in all other legal aspects of corporate support matters, including post-acquisition or disposition structuring, capital raisings or any other corporate structuring activities.
-Implement and manage a programme for key filing obligations, deadlines and fees for all Group entities in relevant jurisdictions and manage all filings to Companies House or other equivalent and related corporate repositories.
-Support the General Counsel in drafting and maintaining relevant corporate books and records, including minutes, resolutions and investor, shareholder and lender consents.
-Act as primary contact for legal technology tools in support of contract creation and management, AI reviews, consent statement tracking and other privacy matters.
-Support the General Counsel as a senior member of the legal team, serving as her delegate where required and as an escalation point for the MVF UK Counsel and supporting the Head of Risk as required.
-Proactively identify opportunities for improvements in LGR processes, documentation or stakeholder engagement and propose and follow through on recommendations.
-Lead self and others in advocating for and delivering the LGR strategy and contributing positively to the success of MVF.
-Where approved by the General Counsel, instruct and manage external counsel (and other suppliers), including setting and monitoring scopes of work and budgets while maintaining strong and productive relationships.
-Develop and maintain strong relationships with key stakeholders, enabling stakeholders to approach the Legal, Governance and Risk team with trust and confidence.
-Be a team player with a can-do attitude and desire to support the business in its legal needs, howsoever they arise, flexing where necessary to do more senior or junior tasks.
-Tackle legal queries with a solution focus, looking for ways to create revenue growth opportunities while still balancing risk in line with MVF’s Risk Management Structure.
-Strive for continuous personal improvement, seeking out feedback from stakeholders and incorporating key themes into development plans that include concrete deliverables and objectives.
-University degree, law or otherwise, and qualified lawyer in E&W with current practicing certificate.
-3-5 years of pre and post-qualification experience in one or more of commercial contracts, privacy and data protection or general corporate and governance in the UK.
-Experience in-house supporting a fast-paced and growing business with experience in a portfolio company environment is beneficial, but not required.
