Job Description

We are seeking a seasoned, Russian-speaking legal professional with deep experience in complex corporate and shareholder matters. This position focuses on special situations involving control, governance, litigation, and risk management within intricate holding structures, often under English law. The ideal candidate combines strong legal judgment with practical problem-solving to guide high-level decisions and maintain alignment across diverse ownership networks.

Key Responsibilities:

• Shape and execute legal strategies to safeguard shareholder and company interests
• Prepare legal arguments, procedural materials, and evidence for corporate litigation
• Represent the company in court and coordinate the work of external law firms
• Navigate complex shareholder relations to ensure unified governance and control
• Draft, review, and negotiate shareholder agreements, voting structures, and ownership frameworks, including those subject to English law
• Create internal processes for resolving sensitive corporate issues and maintaining compliance
• Advise senior management and shareholders on governance, structure, and legal risks
• Support corporate restructuring and transformation of ownership and holding models

Requirements:

• Minimum 8 years of experience in corporate law, litigation, or special situations within holding companies, investment firms, or financial institutions
• Proven expertise in shareholder relations and maintaining governance integrity in multi-jurisdictional setups
• Strong understanding of corporate, commercial, and procedural law, with hands-on experience in English law documentation and practice
• Skilled in managing complex ownership structures and coordinating multi-party decision-making
• Fluent in English and Russian
