We are seeking a detail-oriented and proactive Senior Global Compliance Administrator & Corporate Governance Paralegal to support the company's global ethics and compliance program in Chicago. This role will coordinate compliance operations, conduct third-party due diligence, support regulatory compliance initiatives, administer the company's ethics reporting system, and manage corporate governance, statutory compliance, and legal operations.

The ideal candidate is highly organized, collaborative, intellectually curious, and proactive; exercises sound judgment when handling confidential matters; and is comfortable managing complex processes and multiple priorities in a fast-paced environment. This position works closely with Legal & Compliance, client account teams, Finance, Tax, HR, regional business leaders, outside counsel, and third-party service providers to help ensure the organization's compliance and governance programs operate efficiently and effectively across multiple jurisdictions.

Key Responsibilities

Global Compliance Operations

  • Serve as a primary resource for employees and Legal & Compliance colleagues on general compliance inquiries.

  • Assist in managing the Global Compliance mailbox and ensure timely routing and resolution of requests.

  • Coordinate and support day-to-day compliance program activities and special projects.

  • Maintain accurate compliance records, documentation, and reporting.

Third-Party Due Diligence

  • Administer the organization's third-party due diligence platform (LSEG World-Check), including user access, licensing, renewals, and vendor coordination.

  • Conduct due diligence reviews on prospective clients, vendors, partners, board candidates, and other third parties.

  • Coordinate enhanced due diligence investigations with external providers and communicate findings to stakeholders.

  • Maintain due diligence documentation and support continuous improvement of screening processes.

Ethics Hotline Administration

  • Serve as the primary coordinator for the company's ethics reporting system (Ethico).

  • Review and triage new reports while maintaining confidentiality and appropriate escalation.

  • Coordinate case assignments and maintain accurate case documentation.

  • Update reporters through the hotline platform and assist with timely case closure.

  • Manage vendor relationship activities, including contracts, annual renewals, invoicing, and system administration.

Corporate Governance & Statutory Compliance

  • Manage and maintain global corporate records, minute books, and entity management systems.

  • Coordinate and oversee domestic and international statutory filings, annual reports, and director/officer updates.

  • Support entity formations, dissolutions, restructurings, and intercompany governance matters.

  • Partner with outside counsel and internal stakeholders to ensure timely and accurate compliance with corporate requirements.

  • Track and maintain corporate calendars to ensure filing deadlines are met.

  • Assist with drafting and/or reviewing board resolutions, consents, and corporate documentation.

Compliance Documentation & SharePoint Administration

  • Support administration of the Office of General Counsel SharePoint site and related compliance resources.

  • Maintain compliance policies, revision histories, and document repositories.

  • Coordinate policy publication through the Global Policy Portal.

  • Manage access requests and ensure documentation remains current and organized.

  • Assist in maintaining FARA resources, forms, training materials, and internal collaboration sites.

  • Partner with IT on SharePoint permissions, ownership, and administrative functions.

Project Management & Program Support

  • Lead and manage cross-functional legal and compliance projects, including corporate clean-up initiatives, governance modernization, regulatory reporting workflows, and other special projects.

  • Manage project timelines, trackers, reporting dashboards, and compliance metrics.

  • Support compliance training materials, guidance documents, policy rollouts, and internal compliance and governance communications.

  • Support audits, internal reviews, and compliance reviews.

  • Identify and drive process improvements to enhance efficiency, documentation, risk mitigation, and administrative effectiveness.

  • Partner with Legal, Finance, Tax, HR, client account teams, and regional business leaders.

  • Serve as a trusted operational partner to attorneys and compliance leadership and perform other compliance-related responsibilities and ad hoc tasks as needed.

Basic Qualifications

  • Bachelor's degree in Business, Legal Studies, Public Administration, Political Science, Compliance, or a related field, or equivalent professional experience.

  • 5-10 years of experience in compliance, legal operations, risk management, ethics, or a related function.

Preferred Qualifications

  • Experience administering third-party due diligence platforms (such as LSEG World-Check or similar).

  • Significant knowledge about various compliance topics such as anti-bribery and corruption, anti-money laundering, economic sanctions, trade controls and anti-boycott laws as well as familiarity with the Foreign Agents Registration Act (FARA) requirements..

  • Demonstrated expertise in global corporate records management and statutory filings.

  • Experience with regulatory filings at the Federal and/or State level or willingness to be trained on them.

  • Experience managing ethics hotline or case management systems.

  • Experience working with multinational organizations or global compliance programs.

  • Strong project management skills with the ability to manage multiple deadlines across jurisdictions.

  • Notary Public (or willingness to become a Notary upon hire).

  • Proficiency with Microsoft 365 applications, including Outlook, Word, Excel, PowerPoint, Teams, and SharePoint.

  • Experience using AI productivity tools such as ChatGPT and Microsoft Copilot to enhance workflow efficiency.

  • Exceptional organizational skills and attention to detail.

  • Excellent written and verbal communication skills.

  • Strong analytical, judgment, and problem-solving abilities with an emphasis on being practical.

  • Proven ability to work independently while thriving in a collaborative, team-oriented environment.

  • Ability to manage multiple and shifting priorities while maintaining confidentiality.

An employee’s pay position within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, travel requirements, revenue-based metrics, any contractual agreements, and business or organizational needs.
