Senior – Financial Due Diligence (EY-Parthenon)

At EY-Parthenon, we combine strategy, transactions and corporate finance to support investors, corporates and governments on their most critical decisions.

Our Transaction Diligence team sits at the heart of deal execution, supporting private equity and corporate clients on acquisitions, disposals and strategic transactions through rigorous financial analysis and clear commercial insights. We are looking to hire Senior-level professionals in our financial due diligence team who can support on transactions and take ownership of key workstreams.

Your Key Responsibilities

As a Senior in our Financial Due Diligence team, you will play a hands-on role across the deal lifecycle:

• Execute financial due diligence engagements (buy-side, sell-side and vendor assistance), working closely with Managers and Partners
• Take ownership of key diligence workstreams, including:
• Quality of earnings analysis
• Working capital and net debt assessments
• Cash flow and liquidity analysis
• Historical and forecast performance reviews
• Analyse target businesses and identify key risks, value drivers and deal considerations
• Interact directly with clients and target company management, including participation in management meetings and Q&A processes
• Prepare high-quality due diligence reports and deliverables tailored to investor decision-making
• Review financial models and challenge assumptions underpinning forecasts and valuations
• Support deal processes from initial scoping through to signing, often across multiple concurrent transactions
• Contribute to business development, including proposal preparation and client pitches where required

Skills / Attributes for Success

Core Experience (critical for this role):

• 2–5+ years of direct financial due diligence experience, ideally within a Big 4, boutique advisory firm, or transaction-focused environment
• Proven experience working on M&A transactions (buy-side and/or sell-side)
• Strong understanding of:
• Deal mechanics (enterprise value to equity bridge, working capital adjustments, debt-like items)
• Financial statement analysis in a transaction context

Technical & Analytical:

• Strong financial analysis and accounting skills
• Ability to quickly understand business models and key value drivers
• Experience analysing forecasts and identifying key sensitivities and risks

Commercial & Communication:

• Ability to translate analysis into clear, investor-relevant insights
• Strong report writing skills with an emphasis on clarity and impact
• Confident in client-facing environments, including management interaction

Working Style:

• Able to manage multiple deadlines in fast-paced deal environments
• Proactive, with a strong sense of ownership and accountability
• Team-oriented, with the ability to collaborate across service lines
