
The candidate within this role will be reporting to the Senior Manager (SM) and supporting them with regards various analysis, financial modeling, credit rating management and analysis, M&A, asset monetization and selective project financing activities of the company. The projects that will be handled include buy / sell side evaluation, greenfield / brownfield projects in ports, economic zones, logistics and maritime, establishment of partnerships / JVs, asset monetization , M&A, project financing, alternate sources and capital markets (debt and equity), capital structuring, credit rating etc. etc.
Core Responsibilities:
Assistance in appointing and managing consultants including valuation consultants, financial due diligence consultants, etc. for M&A project
Review / negotiation of various project documentation including Shareholders Agreement (SHA), Share Purchase Agreement (SPA) etc.
Assist SM in structuring JV’s for the various businesses in conjunction with tax and legal teams
Financial review and analysis of various investment opportunities
Credit rating management including scenario analysis for impact of investments on Moodys and Fitch ratios
Support SM in monetisation of various real estate assets of the company
Assist in IPO readiness assessments, IPO etc. of various group companies as needed
Preparation / review financial models, business plans, valuations for various JV’s, Holding company, group entities etc.
Assist SM in preparing presentations to senior management and shareholder including investment memoranda, reports, approval documents and summaries
Responsible for providing key macro-economic environment updates and identify key trends that may impact the funding cost and capital structure of the business and company
Ensure timely and appropriate completion of M&A transaction procedures including CPs fulfilment, completion accounts and approvals
Support SM in Purchase Price Allocation (PPA) for various M&A projects
Manage capital budgeting process for the group and businesses
Assist SM in assessing funding requirements for capital projects, in coordination with the businesses, and develop an adequate funding plan by identifying available sources of capital.
Assist in developing models to analyse the debt capacity of capital projects, the risks associated to contemplated financing structure, and the overall value to AD Ports.
Assist SM in ad-hoc analysis / presentations as required
Educational and Technical Qualifications:
Bachelor’s degree with CA / CFA / ACCA / MBA certifications
Thorough understanding of corporate finance concepts, principles, ratios and process
Advance Microsoft excel, powerpoint skills including prior financial modelling experience
Functional problem solving, and ability to quickly gather and synthesize data
Strong research, analytical skills, and ability to obtain the right information from various relevant sourc
Ability to manage multiple tasks within a defined timeline
Industry experience in relation to Ports, logistics, maritime and logistics infrastructure will be an added advantage
Language Skills:
Written and Spoken English is essential
Years & Nature of Experience:
Minimum 4-5 years of experience in corporate financing preferably with an investment bank or consulting practice (ex. Big 4) or banking sector
