Join the Legal Leadership Team at Randstad HQ

We are hiring a (Senior) Director Global Legal – M&A / Treasury to lead high-stake acquisitions, divestitures, and complex financing arrangements from our global headquarters in Diemen, steering the legal strategy for the world's leading talent company.

Location & Working Conditions

  • Primary Location: This role is based at our Global Headquarters (HQ) in Diemen, Netherlands

  • Working Hours: Full availability is required during Central European Time (CET) business hours to ensure effective collaboration with the Executive Board and Global Legal Leadership Team.

  • Hybrid Structure: While based in Diemen, we offer a flexible hybrid working model that balances office presence at our Amsterdam-area hub with remote work flexibility.

What You Will Achieve (The Purpose)

As a critical member of the Legal Leadership Team (LLT) , you will provide the legal steering for complex M&A transactions and financing projects. You will act as the primary legal sparring partner for the Global General Counsel, Executive Board (EB), and Functional Managing Directors , ensuring Randstad maintains a solid legal position toward third parties while managing risk in high-stake deals.

What You’ll Be Doing (Key Responsibilities)

  • Lead M&A Excellence: Drive all legal aspects of acquisitions, divestitures, and joint ventures—from initial NDAs and non-binding offers to closing and post-merger integration.

  • Master Negotiator: Act as the lead negotiator on primary transaction documents (SPAs, APAs, Shareholders' Agreements), protecting Randstad’s commercial interests.

  • Finance & Treasury Oversight: Structure and negotiate complex financing arrangements, including syndicated credit facilities, bond issuances, and receivables financing.

  • Global Authority: Serve as the internal expert on corporate law, providing proactive guidance on group structure, subsidiary management, and complex governance issues.

  • Strategic Collaboration: Implement a strong framework with Global Tax, Treasury, and Accounting to ensure a holistic approach to transaction risks.

  • Department Leadership: Provide guidance and management to a high-performing team within the 23-person Global Legal department.

What You Need to Succeed (Qualifications)

  • Legal Credentials: You are a qualified lawyer, preferably admitted to the bar, with a strong expertise in (Dutch) corporate law , M&A, and banking/finance law.

  • Proven Track Record: 10+ years of experience within a top-tier law firm or a large corporate environment.

  • Financial Literacy: A deep understanding of corporate finance and the ability to read and analyze complex numbers.

  • Strategic Mindset: Proven experience as a strategic legal partner in executive-level decision-making.

  • Tech Savvy: The ability to leverage technology and digital tools to improve legal function efficiency.

This is a Strategic Leadership & Transactional Execution Role. While it requires technical legal mastery, the focus is on steering global strategy, high-level negotiation, and people management , rather than purely administrative corporate secretarial tasks.
