Job Description

This role is a broad corporate position within the Legal Department, providing support across a range of corporate legal matters, including tax-related structuring, securities, corporate governance, subsidiary management, treasury and finance.

The role reports to the Associate General Counsel and works closely with senior members of the Legal team and cross-functional stakeholders, with opportunities to gain exposure to a variety of corporate legal disciplines and to take ownership of discrete workstreams, with guidance from senior members of the Legal team.

ESSENTIAL FUNCTIONS

Tax and Corporate Structure

  • Provide significant legal support on internalfinancingsand corporatereorganizations, including advising on legal implications of step plans,identifyingkey transactions, obtaining internal approvals, and drafting and implementing legal documentationin collaboration with internal stakeholders and external counsel

  • Assistwith the design and implementation of operating structures for rig ownership, rig transfers, and intercompany transactions, including bareboat charters

  • Supportthe establishment and termination of international joint ventures,addressinglegal issues arising from theiroperationand draftingformation documentationandshareholders’ agreements.

  • Coordinate with and help oversee outside counsel across multiplejurisdictionsand workstreams

Corporate & Securities

  • Support the preparation ofSEC filings, including10‑Ks, 10‑Qs, 8‑Ks,proxy statements, Section 16 reports, and other disclosure documents.

  • Collaborate with internal teams on disclosure controls andassistwith corporate governance matters, as needed

  • Provide significant legal support on corporate structure and subsidiary management.

  • Maintain corporate records and manage/assist in the creation of summary documentation to ensure up-to-date information is available to the relevant stakeholders.

Treasury, Accounting and Finance

  • Draft various finance & intercompany-related documentation, including term sheets, guarantees, indemnities, letters of credit, and letters of support.

  • Support the Treasury team on capital marketsanddebt-related matters, including negotiating and preparing indentures, notes, loan agreements, collateralagreementsand other documentation.

  • Provide legal support to the Finance and Treasury teams on policies and practices, as needed

Mergers, Acquisitions and Divestitures

  • Provide legal support on transactions, including drafting andreviewingNDAs, letters of intent,and transaction documentation,conductingdue diligence andsupporting pre- and post-closing activities

  • Assistwith specialprojects asassigned

QUALIFICATIONS

  • Solid foundation in core corporate legal functions, including tax,corporate governance,securitiesandtreasury, with the ability to support a broad range of corporate matters from day one.

  • Experience handling corporate structure,governance,securities,and entity managementwork,and providing legal support to finance‑related functions.

  • M&A experience is a plus but notrequiredif the candidatedemonstratesstrong capability acrossthe other corporate areasdescribedabove

  • Exposure to international or cross‑border legal conceptsis a strong plus.

  • At least 3 to5 years ofrelevantlegalexperiencerequired,with prior law firm experience preferredBoth candidates transitioning from a law firm into their first in‑house role or moving from another in‑house positionwill be considered

  • Oil and gas industry experience is preferred but notrequired

  • Strong attention to detail, sound judgment,and the ability to manage multiple priorities effectively, withappropriate judgmenton when to seek guidance

  • Demonstrated ability tooperateeffectively in a team-oriented environment, with a pragmatic and collaborative approach.

  • Excellent communication skills, including the ability to explain complex legal concepts clearly to non-legal stakeholders

  • Juris Doctor (JD) from an accredited law school and active bar membership in any U.S. state.
