Marathon Petroleum is seeking a Senior Counsel, Commercial to provide strategic legal support to the company’s commercial operations. Experience supporting trading or trade floor operations is strongly preferred. The Commercial component of the Law organization also supports marketing, logistics and compliance activities arising from Marathon Petroleum’s commercial activity. This role will serve as a trusted advisor to business leaders, delivering practical, real-time legal guidance on complex commercial transactions and operational matters that drive enterprise value.
The Senior Counsel will partner closely with commercial business leaders and other cross-functional stakeholders to navigate legal risk, structure transactions, and support day-to-day business activities in a fast-paced environment with an emphasis on practical, business focused solutions, issue spotting, and preventive law. While experience supporting trading or trade floor operations is strongly preferred, other relevant experience from the downstream energy sector in marketing or logistics will be considered.
KEY RESPONSIBILITIES:
Provides strategic legal advice and counsel to commercial business teams, including real-time support for trading and commercial transactions.
Drafts, reviews, and negotiates a wide range of commercial agreements, including supply, sales, transportation, storage, and trading-related contracts.
Advises on legal and regulatory considerations impacting commercial operations, including risk allocation, compliance, and contract performance.
Continuously and proactively develops an understanding Marathon Petroleum’s business to leverage that knowledge to improve legal support.
Partners with commercial leadership to structure transactions and business arrangements that align with company strategy while mitigating legal and financial risk.
Serves as a trusted advisor to business leaders, offering clear, practical, and solutions-oriented guidance in a fast-paced, high-volume environment.
Identifies, assesses, and manages legal risk across commercial activities, ensuring alignment with internal policies and applicable laws and regulations.
Collaborates cross-functionally with finance, tax, compliance, and other teams to support integrated business solutions.
Develops and delivers training, tools, and guidance to enhance commercial contracting practices and risk awareness.
Effectively manages outside counsel, where applicable, to ensure high-quality and cost-effective legal support.
Maintains proactive communication with Law leadership regarding key issues, risks, and business developments to support a “no surprises” environment.
Stays current on relevant legal, regulatory, and industry developments impacting commercial and trading activities.
Performs other duties as assigned.
EDUCATION AND EXPERIENCE:
Juris Doctorate degree required.
Active license to practice law in a U.S. state; must obtain and maintain Ohio (or applicable state) bar membership.
Minimum of ten years of licensed legal experience.
Minimum of five years of experience of legal experience supporting trading or trade floor operations, though other relevant experience from the downstream energy sector in marketing or logistics will be considered.
