Job Description

We are seeking an experienced and business-minded Senior Corporate Lawyer to join a dynamic team supporting a Private Equity Fund and its two portfolio companies. This role is based in Almaty, Kazakhstan, with a primary legal focus on AIFC (Astana International Financial Centre) law

Key Responsibilities:

• Provide comprehensive legal support to the Fund across all stages of its operations, including structuring, compliance, investor relations, and transactional work.
• Act as lead legal advisor for two portfolio companies, handling day-to-day corporate matters, governance, commercial contracts, and regulatory issues.
• Ensure full compliance with AIFC regulations and coordinate with external counsel when necessary.
• Draft, review, and negotiate a wide range of legal documents, including investment agreements, shareholder agreements, and financing documents.
• Work closely with senior management, investment teams, and other stakeholders to support strategic decision-making.
• Anticipate legal risks and proactively develop solutions to mitigate them.

Requirements:

• Law degree from a reputable university; admission to practice law in Kazakhstan or another recognized jurisdiction.
• Minimum 5–7 years of relevant experience in corporate law, ideally with exposure to private equity or investment funds.
• Solid understanding of AIFC regulations and cross-border legal frameworks.
• Strong analytical and problem-solving skills, with the ability to work independently.

• Fluent professional English and Russian (both written and spoken).

• Team-oriented mindset with high professional ethics and business acumen.
