About the Role
We are seeking a highly skilled Brazilian-qualified Senior Corporate Lawyer to safeguard and optimise our Brazilian corporate structure, ensuring flawless statutory compliance while supporting rapid market expansion in the regulated betting industry. This role demands exceptional attention to detail, mastery of Brazilian corporate and tax law, and the ability to navigate complex cross-border transactions.
Key Responsibilities
Statutory & SECAP Filings: File annual accounts, DREI UBO updates, and quarterly sports-betting turnover reports; maintain complete and compliant licence-holder records.
Portuguese-Law Contracts: Draft and negotiate high-value agreements (marketing, tech, data, co-branding) with integrated ISS, PIS/COFINS, and transfer-pricing clauses.
Capital & FX Structuring: Design capitalisations, debt pushes, and dividend flows; secure Banco Central approvals and monitor IOF tax implications.
Corporate Actions: Manage share transfers, reorganisations, and cross-border mergers, including notarisation, apostille, and sworn translations.
Regulatory Liaison: Act as primary contact for Ministério da Fazenda, Receita Federal, and COAF on corporate and compliance matters.
Labour & Contractor Compliance: Oversee CLT compliance for employees and service providers; work with labour counsel on disputes or audits.
Process Digitalisation: Implement a bilingual entity-management system; automate compliance alerts and generate corporate dashboards for HQ.
Candidate Profile
Brazilian-qualified lawyer with minimum 5 years corporate/regulatory experience in betting, fintech, or technology sectors.
Native Portuguese speaker with fluent English for cross-border negotiations.
In-depth knowledge of Portaria 827/2024, COAF corporate obligations, and Brazilian tax structuring.
Proven ability to manage multiple high-stakes corporate transactions with precision and efficiency.
