Position Title: Senior Corporate Counsel

Department: General Counsels Office

Location: Vancouver, Calgary, Toronto, Montreal

Status: Permanent, Full-Time (Hybrid)

About This Opportunity

  • Collaborate closely with colleagues and organizational leaders throughout CIRO, providing timely and practical legal advice on complex matters as they emerge
  • Help teams to move work forward with clear practical legal guidance
  • Support CIRO’s oversight relationship with members of the Canadian Securities Administrators and help ensure CIRO meets its applicable obligations
  • Perform legal review of material contracts and internal corporate policies
  • Lead or assist in policy initiatives within the GCO’s mandate.
  • Retain and instruct external counsel in corporate/commercial matters
  • Provide legal advice and support relating to CIRO regulatory and legal obligations
  • Provide legal advice and support for CIRO’s Annual General Meeting (AGM) and related corporate governance matters

What You Bring

Must-haves

  • Law degree and membership in good standing with the applicable provincial law society
  • At least 7 years’ experience in private practice, in-house or a regulatory position
  • Experience in corporate commercial law, securities law and/or self-regulation in the securities industry is especially valuable
  • A collaborative, team-oriented mindset and the ability to build strong working relationships across functions

Nice to Haves

  • Familiarity with CIRO and the regulatory and legal framework within which it operates
  • Knowledge of and experience with current securities industry practices, applicable securities legislation, and/or marketplace structure and operations
  • Excellent communication, presentation and writing skills
  • Demonstrated initiative and dependability
  • Excellent organizational skills
  • Ability to interact effectively with senior management, other regulators and external stakeholders
  • Ability to work independently and as part of a team on long-term, complex projects
  • Bilingual in English and French
