About Your Role:

As a Senior Assistant General Counsel, Contracts & Corporate at Dollar Tree’s corporate office, you’ll serve as a trusted legal advisor to leaders across the enterprise on a broad range of commercial contracts and corporate matters, with significant responsibility for agreements supporting our Information Technology organization. You’ll draft and negotiate complex commercial agreements, advise business partners on legal and commercial risk, and collaborate across Legal, Technology, Procurement, Privacy, Information Security, Tax, Insurance, and other functions to support critical business initiatives.

You’ll also help advance how legal services are delivered by improving contracting processes, developing playbooks and templates, and leveraging AI and other technologies to increase the speed, consistency, and effectiveness of our Legal organization.

Your day-to-day job duties include, but are not limited to, the following:

Commercial Contracts & Transactions:

  • Serve as a senior legal advisor on a broad range of commercial contracts and transactions supporting enterprise operations, including significant responsibility for matters involving Information Technology.
  • Draft, review, negotiate, and advise on complex commercial agreements, including SaaS and hosted services agreements, software licenses, managed services agreements, master services and consulting agreements, statements of work, reseller agreements, staff augmentation agreements, vendor purchasing agreements, confidentiality agreements, and data privacy and protection agreements.
  • Advise business partners on contractual terms and obligations, legal and regulatory requirements, intellectual property, data protection, confidentiality, and other areas of commercial risk.
  • Identify key legal and business risks early in the contracting process and provide practical recommendations that appropriately balance risk with business objectives.
  • Analyze contractual obligations and partner with business leaders to address vendor performance, enforce contractual rights, mitigate risk, and resolve commercial disputes.
  • Provide legal counsel and strategic guidance on pre-litigation contractual disputes and potential claims.
  • Deliver practical, business-oriented legal advice within the fast-paced environment and turnaround times required to support enterprise operations.

Corporate Counsel & Business Partnership:

  • Serve as a trusted advisor to executives and business leaders, providing clear, timely, and actionable counsel on commercial, corporate, and other business matters.
  • Partner cross-functionally with Procurement, Privacy, Information Security, Tax, Insurance, Finance, and other subject-matter experts to provide comprehensive legal and contractual risk assessments.
  • Translate complex legal concepts into practical guidance that enables business leaders to make informed decisions.
  • Support Procurement with contracting process improvements, template development, training, and other legal guidance.
  • Maintain strong relationships with internal clients, Legal colleagues, outside counsel, vendors, and other stakeholders while delivering a high level of client service.
  • Monitor developments in commercial, corporate, technology, privacy, and other relevant areas of law and advise the organization on potential impacts.
  • Provide legal support for additional corporate transactions, organizational initiatives, and other projects as business needs evolve.

Contracting Transformation, AI & Process Improvement:

  • Lead efforts to continuously improve contract review, negotiation, approval, and management workflows across the organization.
  • Develop and enhance contract templates, negotiation playbooks, standard positions, and processes that improve consistency, efficiency, and risk management.
  • Lead and support the implementation and adoption of AI and other technology solutions that simplify legal workflows and enhance the delivery of legal services.
  • Partner with Legal, Procurement, Technology, and other stakeholders to improve contracting processes and the overall contract lifecycle.
  • Support the effective use and continued development of Contract Lifecycle Management (CLM), document management, and related Legal technology platforms.
  • Identify opportunities to automate or simplify repetitive legal work while maintaining appropriate controls and legal oversight.
  • Develop and deliver training to Legal team members and business partners on contracting processes, templates, negotiation strategies, technology, and best practices.

Leadership & Legal Excellence:

  • Provide leadership, coaching, and mentorship to attorneys, paralegals, and other Legal team members, as appropriate.
  • Help strengthen capabilities across the Legal organization by sharing expertise and developing more efficient and effective approaches to contract review and legal service delivery.
  • Contribute to the development and implementation of best-practice legal policies, procedures, and operating practices.
  • Foster a culture of collaboration, accountability, innovation, continuous improvement, and exceptional client service.
  • Model the highest standards of ethics, integrity, confidentiality, judgment, and professional responsibility.

Your Required Skills and Experience:

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.
  • Active membership in good standing with the bar of at least one U.S. state or territory, including compliance with applicable continuing legal education requirements.
  • 10+ years of experience providing legal counsel on commercial transactions through in-house and/or large law firm experience.
  • Significant experience drafting, reviewing, revising, and negotiating complex commercial agreements from the customer perspective, including technology, SaaS, software licensing, professional services, vendor, data protection, and confidentiality agreements.
  • Demonstrated experience advising business leaders on complex contractual, legal, and commercial risks.
  • Experience supporting Information Technology organizations and technology-related transactions.
  • Recent experience leading or implementing contract management workflows, playbooks, templates, or process improvements.
  • Demonstrated proficiency using AI-enabled legal tools and other technologies to improve contract review, legal workflows, or service delivery.
  • Strong understanding of contract lifecycle management and contracting processes.
  • Excellent business judgment with the ability to balance legal and compliance considerations with practical business objectives.
  • Proven ability to manage a high volume of complex matters simultaneously while working independently with limited supervision.
  • Exceptional written and verbal communication, negotiation, analytical, and interpersonal skills.
  • Broad legal knowledge with the ability to quickly identify issues, assess risk, and develop practical, business-oriented solutions.

Preferred Requirements:

  • Knowledge of the legal and regulatory environment surrounding information technology services.
  • Knowledge of cybersecurity standards and practices, including SOC reporting and ISO certifications.
  • Knowledge of applicable data privacy and protection laws and regulations, including CPRA and HIPAA.
  • Experience advising business partners on pre-litigation commercial and contractual disputes.
  • Experience implementing, optimizing, or working extensively with Contract Lifecycle Management (CLM) systems.
  • Experience developing contracting playbooks, standardized templates, and training programs.
  • Familiarity with corporate policies, authorizations, organizational structures and reorganizations, finance, insurance, and other corporate transactional matters.
  • Experience within a large, complex, multi-location retail or consumer-facing organization.

Pay Range: $225-$250k base on experience + 25% bonus target + equity. Relocation assistance provided.
