The Practice – A Brief Sketch

The Technology M&A team helps clients navigate the technology implications of mergers, acquisitions, divestitures, carve-outs, joint ventures, and business transformations. We work across the transaction lifecycle, with a strong focus on post-deal signing activities including sign-to-close planning, Day 1 readiness, integration planning, separation planning, TSA strategy and exit planning, and execution through Integration Management Offices (IMO) and Separation Management Offices (SMO).

Our professionals help clients identify and realize transaction value while managing technology risks, operational dependencies, and transformation opportunities. We work closely with executive leadership, business stakeholders, and technology teams to design and execute integration and separation strategies that enable successful transaction outcomes.

Key Responsibilities

• Lead large-scale Technology M&A programs across mergers, acquisitions, divestitures, carve-outs, and joint ventures.
• Serve as a trusted advisor to C-suite and senior technology executives on transaction-related technology decisions.
• Lead sign-to-close planning, Day 1 readiness, integration planning, separation planning, TSA strategy, and TSA exit execution.
• Oversee Integration Management Office (IMO) and Separation Management Office (SMO) governance, execution, and value realization activities.
• Define technology integration and separation strategies across applications, infrastructure, cloud, cybersecurity, data, ERP, and operating models.
• Drive synergy identification, value capture, risk mitigation, and transaction execution planning.
• Lead multi-disciplinary consulting teams and provide overall engagement leadership, quality assurance, and stakeholder management.
• Build executive-level business cases, steering committee materials, and transformation roadmaps.
• Support business development, proposal creation, thought leadership, and practice growth initiatives.
• Develop and mentor managers and consultants within the Technology M&A practice.

• Strong commercial acumen and experience supporting sales, account growth, and client relationship development.
• Ability to translate transaction objectives into actionable technology strategies and execution plans.

Technology Domain Experience

Candidates should possess practical experience in at least one of the following technology domains and understand how these capabilities evolve during M&A transactions, integrations, and separations:

1. IT Infrastructure & Cloud
• Infrastructure integration and separation planning.
• Cloud migration and cloud operating model considerations.
• Data center, network, workplace, hosting, and end-user computing environments.
• Infrastructure TSA planning and exit execution.

2. ERP
• Experience with SAP, Oracle, Microsoft Dynamics, or similar ERP platforms.
• ERP integration, harmonization, migration, or carve-out activities.
• Understanding of business process impacts, reporting, controls, and data migration considerations during transactions.

3. Enterprise Architecture & IT Operating Model Transformation
• Enterprise architecture assessments and target-state design.
• Application portfolio rationalization and technology roadmap development.
• IT operating model design and transformation.
• Technology governance, capability models, and organizational design considerations during integrations and separations.

Candidates should possess a strong understanding of how technology environments, operating models, applications, and infrastructure are impacted during mergers, acquisitions, divestitures, and carve-outs. They should be comfortable advising clients on transaction implications, identifying risks and dependencies, and shaping integration and separation strategies across the deal lifecycle.

Your Experience Counts

• MBA from a Tier 1 institute preferred.
• 12–18 years of consulting, deal advisory, technology advisory, transformation, or industry experience.
• Demonstrated experience leading Technology M&A transactions and large-scale integration or separation programs.
• Strong experience across sign-to-close planning, Day 1 readiness, integration planning, separation planning, TSA strategy, and IMO/SMO leadership.
• Experience leading client engagements, managing senior stakeholders, and overseeing delivery teams.
• Experience in at least one of the following domains: IT Infrastructure & Cloud, ERP, or Enterprise Architecture & IT Operating Model Transformation.
• Proven ability to originate opportunities, contribute to sales pursuits, and support practice growth.
• Strong understanding of modern enterprise technologies including cloud, cybersecurity, AI, data, and digital platforms.
