Remote ECVC & Technology M&A Attorneys

Four Openings | Mid-Level through Senior/Partner-Level

A nationally recognized, technology-focused corporate law boutique is expanding its Emerging Companies & Venture Capital and M&A practices. The firm is hiring four attorneys:

  • Senior ECVC Associate: approximately 8–15 years of experience
  • Mid-Level ECVC Associate: approximately 3–6 years
  • Senior M&A Associate or Partner-Level Attorney: approximately 9–15 years
  • Mid-Level M&A Associate: approximately 6–8 years

These are fully remote, US-based positions offering sophisticated transactional work, direct client responsibility and competitive compensation within a substantially lower-hour model than traditional BigLaw.

ECVC Practice

The ECVC attorneys will primarily represent venture-backed technology companies rather than institutional investors. The work includes:

  • Advising emerging and growth-stage companies throughout their lifecycle
  • Managing venture financings from initial term sheet through closing
  • Drafting and negotiating SAFEs, convertible notes and priced-round documents
  • Handling Series A through late-stage financings
  • Preparing cap tables, pro formas, board materials and corporate approvals
  • Advising founders, executives and in-house legal teams on governance and day-to-day corporate matters
  • Supporting equity plans, commercial agreements and strategic transactions
  • Developing direct, long-term relationships with founders and company clients

Senior candidates should be capable of independently leading financing transactions, managing client relationships and supervising more junior attorneys. A benchmark of approximately 15 venture transactions annually is preferred.

M&A Practice

The M&A attorneys will focus primarily on strategic technology transactions, particularly the representation of sellers in acquisitions by strategic buyers. This is not a PE-only M&A practice.

Responsibilities include:

  • Leading or supporting strategic buy-side and sell-side transactions
  • Running day-to-day transaction processes, diligence and closings
  • Drafting and negotiating merger agreements, stock and asset purchase agreements, LOIs and ancillary documents
  • Coordinating specialists, opposing counsel and internal deal teams
  • Advising founders, executives and boards throughout a transaction
  • Handling cross-border matters when relevant
  • Assisting with general corporate work when transaction volume permits

Senior candidates should be able to run or co-run transactions, including sell-side technology deals valued at $50 million or more. The senior hire may be considered for a partner-level title and economics. No portable book of business is required.

Qualifications

  • Active membership in at least one US state bar
  • Relevant transactional experience at a respected corporate law firm
  • Strong drafting, negotiation and project-management skills
  • Ability to work directly with founders, executives, GCs and boards
  • Comfortable independently managing matters in a remote environment
  • Strong responsiveness, judgment and attention to detail
  • For ECVC: meaningful company-side venture financing experience
  • For M&A: meaningful strategic technology transaction experience

Candidates whose experience is primarily investor-side ECVC or PE-only M&A may not align with the current needs.

The firm is unable to provide employment visa sponsorship.

Compensation and Work Model

  • Fully remote within the United States
  • Expected annual billable range of approximately 1,200–1,350 hours
  • Expected total compensation of approximately $280,000–$420,000, depending on experience, role and production
  • Additional production-based compensation for hours above the applicable threshold
  • Partnership-track and matter-management economics for qualified senior attorneys
  • Firm-funded profit sharing and cash-balance retirement plan
  • Unlimited PTO
  • Home-office support

The billable-hour target is not a hard cap, and the firm has substantial client demand. However, attorneys receive meaningful economic participation for additional production rather than absorbing uncompensated hours.
