Job Description

Under the guidance and direction of the Legal Compliance Manager, the Paralegal is responsible for assisting with legal and governance compliance and administrative and executive support functions in the Legal Department. The Paralegal works within general policies, procedures, methods, and practices in assisting with the Department’s operations and provision of services to the Board of Directors, senior management, and the Ahtna Family of Companies.

The salary range for this position is $86,189-$106,012 annually.

Essential Duties and Responsibilities (including, but not limited to):

  • Perform or assist with the performance of the following team tasks and functions:

Paralegal related tasks

  • Draft and review correspondence, memoranda, and legal documents such as contracts, leases, nondisclosure agreements, buy-sell agreements, deeds, and other transaction documents.
  • Compile and organize papers, presentations, and binders.
  • Monitor service of process for the Ahtna Family of Companies, track response deadlines, monitor compliance, and facilitate subpoena responses.
  • Preserve (by issuing and monitoring compliance with hold letters and memoranda), collect, organize, format, and prepare paper and electronic documents and things for investigations and litigation.
  • Locate and interview witnesses; conduct investigations and documentary research.
  • Research and analyze law sources such as statutes, regulations, codes, judicial decisions, and legal publications.
  • Coordinate, draft, review, file, and serve pleadings, motions, discovery, position statements, and other documents in litigation and administrative proceedings.
  • Maintain Legal Department files and records; ensure security, integrity, and confidentiality of data.

Legal compliance related tasks

  • Prepare and file documents to form, govern, and maintain entities in Alaska.
  • Apply for FEINs.
  • Prepare and file documents to qualify parent and subsidiary companies as foreign entities in other U.S. jurisdictions.
  • Assist with business, professional, and occupational licensing for the Ahtna Family of Companies.
  • Prepare, review, and monitor compliance with entity reporting obligations in Alaska and other jurisdictions.
  • Prepare and file documents to dissolve entities and terminate foreign registrations.
  • Maintain electronic entity governance books, records, and files for the Ahtna Family of Companies.
  • Review and revise core policies and procedures for the Ahtna Family of Companies.
  • Prepare, review, coordinate, and distribute documents related to Ahtna’s annual meeting of shareholders.

Governance and Board support related tasks

  • Plan, prepare for, and coordinate meetings and work sessions of the Ahtna Board of Directors, Board Committees and Work Groups, Ahtna Netiye’ Executive Committee, subsidiary boards, and Successor Village Organizations (SVO), including:
    • Draft notices and meeting agendas; prepare motions and resolutions at direction of senior management.
    • Assist and coordinate with senior management on the preparation of presentations, documents, and other meeting materials.
    • Create meeting events in the electronic Board portal and upload meeting materials.
    • Record meetings; draft, finalize, and maintain meeting minutes.
    • Prepare meeting rooms and technology; compile and assemble documents, binders, supplies, and other materials.
    • Shop for, purchase, and arrange catering for meeting refreshments and meals.
    • Track, coordinate, and report to senior management on Board meeting action items.
    • Track, compile, and report Director meeting attendance.
  • Assist with poll votes and surveys of Board, Committee, and SVO directors.
  • Assist Board of Directors, SVO directors, and senior management with travel arrangements; prepare and submit travel reimbursement requests.
  • Prepare, maintain, and distribute Board, Committee, Work Group and SVO directories and contact lists.
  • Coordinate, prepare, maintain, and distribute annual Board calendar.
  • Maintain and research Board meeting files and records.

Shareholder Records support related tasks

  • Assist with share issuance, transfer, and inheritance issues, including determining heirs and inheritance rights, custodian appointment priority, and similar issues.
  • Search for and locate shareholders and heirs.
  • Develop, draft, review, and revise Shareholder Records Department procedures, practices, and desk manual.
  • Develop, draft, review, and revise Shareholder Records forms.
  • Assist with planning, preparing for, and facilitating Ahtna, Inc. shareholder meetings, holiday gatherings, and other functions.
  • Assist with maintaining Shareholder Records Department files and records, including shareholder records database; perform database audits as required; ensure security, integrity, and confidentiality of data.

General and administrative related tasks

  • Assist with communications with the Legal Department’s internal clients, outside entities, and other stakeholders (subsidiary presidents/staff, risk, compliance, safety, finance, HR, and communications).
  • Assist senior management with drafting and revising internal, external, and Board communications.
  • Assist Legal Department and senior management with scheduling, coordinating, and logistics for internal and external meetings.
  • Coordinate with Legal Department vendors; review, code and approve invoices.
  • Assist with preparing expense reports and reconciliations for Legal Department employees and senior management as assigned.
  • Provide notarial services to the Ahtna Family of Companies and shareholders.
  • Other duties as assigned.

Supervision

No direct reports.

Minimum Qualifications

All levels

  • Bachelor’s degree or equivalent in any subject; or Associate degree in any subject and a paralegal certificate
    • Experience may be substituted for education on a 1:1 basis
  • Appointment or eligibility for appointment as a Notary for the State of Alaska
  • Valid Alaska driver’s license
  • Ability and willingness to travel occasionally
  • Advanced proficiency with Microsoft Office 365, Microsoft SharePoint, Adobe Acrobat, project planning , document management, and legal research applications

Paralegal Sr.

  • Six (6) years of relevant paralegal working experience

Preferred Qualifications

  • Two (2) years of experience working with Alaska Native Corporations
  • Working knowledge of Alaska Native Corporation shareholder and land issues
  • Working knowledge of corporate governance and records retention
  • Experience with and knowledge of legal forms and issues surrounding entity formation and governance, transactions, probate and estates, and labor and employment
  • Knowledge and experience with working with Alaska Native cultures

Physical Demands

Frequent sitting for prolonged periods of time, using hands/fingers requiring dexterity and coordination to handle files and single pieces of paper, reaching with hands and arms for items above and below desk level, talking, hearing, and seeing (up close, at a distance, along the periphery, with depth perception, and the ability to adjust focus); walking from place to place within the office with occasional use of stairs and no elevator available; bending, pushing, pulling, and standing for up to 2 hours; occasional lifting of up to 40 pounds such as small office equipment, files, stacks of paper, file boxes, and other materials.

Work is performed in an office setting with ability to speak and receive phone communications often. Work requires computer usage with strength, dexterity, coordination, and visual acuity to use keyboard and video display terminal and other office equipment. Moderate travel required to shareholder communities, subsidiary offices and other locations as needed.

Work Schedule Monday – Friday, 8:00 AM – 5:00 PM, occasional overtime required
