Job Description

Non‑supervisory legal assistant and administrative position, or a paralegal track with three progressive levels. Any advancement will be based on performance and experience. Position may be focused on one area but is expected to support, as needed, the General Counsel and Chief Compliance Officer, corporate and regulatory counsel, legal staff, and other staff and consultants working under or on projects for the General Counsel’s Departments.

Note: There is one position available, and the position will be filled at one of three job grade levels: Paralegal I, job grade 5; Paralegal II, job grade 7 or Senior Paralegal, job grade 8. This decision will be based on the qualifications and experience of the candidate selected, and Tri-State business needs at the time of hire.

Senior Paralegal

Hiring Salary Range: $88,000-$111,000

Paralegal II

Hiring Salary Range: $80,000-$99,000

Paralegal I

Hiring Salary Range: $64,000-$79,000

Actual compensation offer to candidate may vary outside of the posted hiring salary range based upon work experience, education, and/or skill level.

  • Act as an integral resource for attorneys and staff on activities directed by the General Counsel and Deputy General Counsels with advanced problem-solving and professional judgment for legal matters
  • Demonstrated integrity and commitment to maintaining confidentiality and legal privileges
  • Impeccable attention to detail, document comparison, and proofreading skills
  • As paralegal subject matter lead, conduct real estate title review and document preparation for asset acquisitions and sales
  • Draft and assist with electric utility regulatory filings, including FERC and State public utility commissions, compliance organizations, regional transmission organizations, and associated tariffs, rate schedules, and service agreements
  • Track status of regulatory filings and/or civil litigation, manage case deadlines and files
  • Conduct complex, in-depth factual and legal research using legal tools such as Westlaw with presentation of findings to attorneys for case law, regulatory, and statutory authority accuracy
  • Maintain and manage internal departmental and corporate document files
  • Prepare, review, and monitor documents related to corporate financing processes, pleadings, motions, contracts, and discovery requests
  • Submit or direct submittal of electronic and hard copy filings at FERC and State public utility commissions, including in FERC’s eTariff format and independently meet service requirements
  • Prepare, review, monitor, and assemble corporate governance records such as policies, meeting minutes, articles and bylaws, and resolutions
  • Prepare and serve as paralegal subject matter lead for corporate and business meetings including minutes, agendas, resolutions, and presentations
  • Draft complex documentation for entity formation, dissolution, mergers, acquisitions, sales, and transactions
  • Prepare, process, monitor, and serve as primary paralegal internal contact for agency filings, including SEC, FERC and State public utility commissions, compliance organizations, electric resource regional transmission organizations, and associated tariffs, rate schedules, and service agreements
  • Independently review electric utility tariff materials, rate schedules, and service agreements to collaborate with attorneys and internal clients to resolve legal or drafting issues regarding regulations, orders, standards, and requirements
  • Create, monitor, and organize data rooms for due diligence efforts, Regulatory proceedings, and civil litigation and as directed by assigned counsel, serve as primary paralegal point of contact with internal and external stakeholders
  • Update and process litigation holds and discovery materials including data shares with other parties and outside counsel primary paralegal contact for internal and external users as directed by assigned internal counsel in FERC and state regulatory proceedings, civil cases, and federal and state appeals
  • Mentor junior paralegals and legal assistants on procedures, tasks, and professional development.

ADDITIONAL FUNCTIONS AND RESPONSIBILITIES

  • Process and track outside counsel and consultant billing consistent with billing guidelines
  • Process contract review and execution workflows including electronic routing
  • Organize, obtain, and input information for departmental budgets, forecasts, and variances
  • As directed, coordinate and communicate with staff throughout the company and external counsel, governmental agencies, and business partners
  • Understand or gain understanding of basic principles of finance, accounting, and management
  • Manage multiple priorities independently or as part of a team in dynamic situations
  • Hold Colorado notary certification (or be able to obtain within six months)
  • Perform other administrative and legal support duties as assigned
  • Willingness to travel as required (must possess a valid driver’s license)
  • Tri-State is an electric utility with continuous service obligations to its customers, regular, reliable, and predictable performance of the essential functions and responsibilities is an essential function of the job.
  • Tri-State has an obligation to provide continuous, reliable electric service to its customers, the ability to work overtime at any time of the day or week is considered an essential function of the job.

Education and Training

  • Bachelors degree, associates degree, paralegal degree or certification, or equivalent experience.
  • Expertise with software necessary for corporate and legal work.

Experience:

  • Eight (8) plus years or more of relevant experience. Note The above requirements describe the experience and education qualifications for the Senior Paralegal. Those with less experience will be hired at the I or II job grade level.
