Responsibilities
•Provideparalegal supportandassist theLegalOperationsDepartment withcontract drafting, negotiation, and administrationfor the 1199SEIU Funds
•Identify inconsistencies in contracts and deviations from the Funds’ required/preferred contract terms, propose/draft contract language and escalate potential risks or discrepancies to Contract Supervisor
•Timelyreviewrequests forandaccuratelydraftvarious contracts, including but not limited to,using the Funds’ approvedtemplatesand reviewand analyzerevisionsrequestedtotheFunds’ templateagreements
•Review and revisevendorcontracts (with a focus on hotel/event, professional consulting, training program, and facility operations/services) asassignedto ensuretermscomplywith Funds’ policies,procedures andcontractingrequirements
•Communicate withinternal businessownersregardingcontractsand grantsandaccuratelyadviseon contract termsandconditions, conduct follow-upsas necessary through the contract process tofull execution
•Conduct targeted legal and regulatory research to support contract negotiations and compliance with applicable laws and industry standards
•Accurately submitcontracts and documentsfor reviewintothecontract management system and provide back-up coverage for the signature coordinator role in the contract approval and execution process asneeded
•Prepare monthly and annual contract reports and metrics on a timely basis to inform and effectuate identification of trends, and generate ad-hoc reports including those to support strategic decision-making
•Serve as the primary liaison between Legal Operations, Fund’s Procurement teams, and Internal Compliance, ensuring timely and accurate responses to inquiries for executed contracts
•Perform additional dutiesand projectsasassignedbymanagement
Qualifications
•Bachelor’s degreerequired,Paralegal Certificateorequivalenteducationpreferred
•Minimum one(1) year contract reviewexperiencerequired; knowledgeof grants,ERISA,andlegal contract terminology
•Experience with full contract lifecycle, including drafting, negotiation, execution, and renewal
•ProficientinMicrosoft Office applications includingMicrosoft Word andExcel
•KnowledgeofWeb-Based Applications/Software; familiarity with e-signature platforms (e.g., Ironclad, Dropbox Sign, DocuSign, Adobe Sign)
•Experience intheuseofacontractmanagement systempreferred
•Excellentcommunicationskillsbothverbal andwritten;ableto effectivelycommunicate withall levelsof staff, vendors, and otherprofessionals
•Ability to handle privileged,confidential andsensitive information inanappropriateand professionalmanner in accordance with the applicable Fund policies; experience reviewing/negotiating data privacy terms (e.g., HIPAA, PHI, PII) in vendor contracts preferred.
