Paralegal Equity and Insurance
Location: New York, NY (hybrid)
Basic Function
To assist the Legal Function. Should be capable of handling multiple legal assignments and ensure minimization of legal risks to the organization.
Meeting deadlines with minimum turnaround time in handling legal matters.
Essential Functions
Primary Responsibility
Equity Plan Administration
o Support corporate legal efforts on the administration of our clients equity programs with Fidelity.
o Provide day-to-day project support by tracking status and work streams across all equity administration matters deals; support on international equity plans;
o Approve settlements/distributions of director awards;
o Ensure complianc e and timely preparation of Forms 3, 4 and 5;
o Support insider trading policy administration.
o Maintain and improve internal tracking and process documents and databases, including an equity tracker and securities playbook.
o Respond to requests related to equity admin matters received by the corporate team from various departments within the company, including the equity administration team within the finance department.
o Work on annual Section 16 reporting for Form 10-K and Proxy as well as compilation of securities holdings for directors and executive officers;
o Communicate with and build and maintain positive relationships with internal clients and external service providers.
Oversight of all Section 16 matters, including preparing and filing Forms 4. Support the preparation of SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks, S-8s and proxy statements) and associated disclosure control processes. Assist in the administration of the insider trading policy, including managing trading window logistics and organizing/reviewing 10b5-1 plans. Partner with our Equity Administration team to help oversee employee equity plans, including the employee stock purchase plan and international equity plans, grant approvals and administration, RSU releases, and audits.
Corporate Insurance Administration
o Primary liaison between insurance broker and company.
o Ensure smooth renewal process with all internal/external stakeholders.
o Provide Certificate of Insurance for our clients customers (~600 COIs per year) as may be required by contract and respond to internal insurance queries in connection with contract negotiations.
o Work to optimize Insurance processes and ensure compliance.
Miscellaneous
o Assist in the management of corporate governance matters for legal entities, including, charter and by-law changes, maintenance of minute books, stock registers and current officer and director listings;
o Assist in the administration of Legal Team corporate projects, including putting together PowerPoints and other presentations; and
o Assist with board meetings presentations research relevant and necessary topics/data to include in presentation deck
Technical Skills
Excellent skills with Microsoft Word, Excel and Power Point.
Ability to leverage contract lifecycle tool and other legal automation apps/ tools.
Familiarity with constructing searches on Westlaw, Lexis Nexis and Google, including the use of Boolean search terms.
Process Specific Skills:
Must have excellent drafting skills;
Familiar with SEC and Section 16 reporting rules
Soft skills (Desired):
Should be sincere, very hardworking and a team player
Must be ready to take extra responsibility and lead from the front. Will interact with the General Counsel, US Legal
Soft Skills (Minimum):
Should have excellent communication and co-ordination attributes and must be willing to work in a dedicated and diligent manner.
Able to work independently and meet deadlines with minimal daily supervision.
Education Requirements
B.A.
Legal qualification is desirable but not mandatory
Professional demeanor in all situations. Ability to manage the demanding internal and external clients while retaining composure.
Work Experience Requirements
At least 5 years of corporate legal/ paralegal experience performing some or all of the tasks noted in the Primary Responsibility field above.
Primary External Interactions
Interaction on a day to day basis with US Legal, General Counsel and internal clients
Primary External Interactions
Interaction with external counsel and insurance broker.
