Job Description

Duties & Responsibilities:

1) Managing the corporate secretarial activities for around 10 French companies. It includes:

  • Drafting meetings' minutes /circular resolutions of the boards of directors or management boards (or similar governing bodies) and of shareholders meetings, ordinary and extraordinary (e.g. drafting of minutes, proxies to represent the shareholder at the shareholders meeting, handling of the documents to be provided to the members of the corporate bodies before resolutions, etc. …. ), including resolutions relevant to the Annual Accounts or to granting powers of attorney,
  • Coordination of meetings (e.g. management of official invitations as provided in the bylaws, setting up calls, circulating documents relevant to the contents of the meetings etc. …),
  • Updates of corporate books and keep all corporate resolutions on file,
  • Sanity check including a review of all corporate data based on official extracts on local Register websites,
  • Collection of internal approvals, collection of signatures (normally e-signatures but sometimes also delivery of original documents, when required) on corporate documents,
  • Filings at the French Trade Registry and follow up for registration,
  • Drafting of shareholding structure declarations,
  • Management of the apostilles, obtaining extracts or certificates from commercial courts or registries (about companies records or accounts, non-bankruptcy, liens over assets).

2) Updating the Group companies database for around 80 French companies in total.

3) In addition to the above tasks, the following tasks are also in the scope of the legal department paralegal :

  • invoice tracking / liaison with sites and accounting for payment,
  • management of lawyer follow-ups (including issues related to case/file creation and invoicing in the tools),
  • updates in the various reporting tools,
  • support reporting (quarterly litigation reporting, etc.), and
  • updating the legal intranet.

General Characteristics:

Experienced and autonomous professional para-legal wishing to develop further in this function.

We are looking for someone who is interested in developing skills to be able to work in a legal team. This job represents an opportunity to be part of an international legal environment. The selected candidate would be working under the supervision of an experienced, open minded, knowledge sharing team.

Education :

University education diploma in business administration or bachelor’s in law.

The incumbent for this position should demonstrate the following skills:

  • Able to handle various tasks at the same time,
  • Organized,
  • Pragmatic approach with enthusiasm to manage a varied caseload and solutions oriented,
  • Flexible approach to work and able to work within a pressurized environment
  • Ability to organize workload, and be self-motivated to ensure deadlines are achieved

Work experience requirements:

At least 5 years of experience in a legal support function is a must. Experience with organizing BOD meetings, shareholder meetings and French corporate formalities is a significant asset.
