WHAT YOU’LL DO
We’re looking for a highly organized, proactive, and detail-oriented Paralegal to support Viant’s Chief Legal Officer and corporate legal needs. In this role, you’ll play a critical part in supporting corporate governance, managing corporate entities and securities law compliance, Board processes, overseeing employment-based immigration matters, helping to resolve equity plan administration questions, assisting with corporate insurance program management and partnering cross-functionally with teams across the business. You’ll help ensure the corporate Legal needs are met while supporting the company’s continued growth as a publicly traded technology company.
This role is ideal for someone who thrives in a fast-paced environment, enjoys solving complex administrative and legal challenges, and takes pride in delivering exceptional organization and operational support. You’ll work closely with executive leadership, Human Resources, outside counsel, and other business stakeholders while handling sensitive and confidential matters with the highest level of professionalism.
THE DAY-TO-DAY
- Support the Chief Legal Officer with corporate governance activities, Board and committee meeting preparation, drafting resolutions, minutes, and corporate record maintenance.
- Support recurring governance deliverables, including D&O Questionnaires, Section 16 reporting, quarterly related party inquiries, and quarterly audit certifications.
- Administer Boardvantage, the company’s digital Board portal, and maintain committee charters and corporate governance policies, coordinating periodic review and Board approval.
- Coordinate the Legal department calendar related to Board meetings, transactions, litigation deadlines, intellectual property filings, regulatory matters, and other legal priorities; schedule meetings among executives, outside counsel, auditors, directors, and key stakeholders.
- Assist with SEC filings, public company reporting, and other corporate compliance initiatives as directed.
- Manage all corporate entities, including annual filings for foreign subsidiaries and local registrations, with support from the Viant tax team.
- Own end-to-end administration of employment-based immigration and visa matters, partnering with employees, Human Resources, and outside immigration counsel to manage case initiation, documentation, filings, deadlines, status tracking, and employee communications.
- Support employment, commercial, intellectual property, privacy, and regulatory legal matters by conducting research and preparing documentation.
- Assist with corporate insurance program management and credit facility compliance.
- Partner with the Legal Operations Manager to support corporate transactions, including diligence requests, closing checklists, and signature and closing logistics.
GREAT TO HAVE
- 5+ years of paralegal experience supporting in-house legal departments, preferably within a public technology company.
- Bachelor’s degree and/or Paralegal Certificate from an ABA-approved program.
- Prior experience at a top-tier national law firm supporting sophisticated corporate, securities, or M&A matters is strongly preferred.
- Hands-on experience owning employment-based immigration case administration in partnership with outside counsel, including H-1B, TN, L-1, O-1, PERM, and permanent residency matters.
- Strong knowledge of corporate governance, entity management, and public company compliance.
- Experience supporting SEC reporting, public company compliance, and Board governance activities preferred.
- Experience with employee equity plans and corporate insurance programs.
- Exceptional organizational, project management, and communication skills with the ability to manage multiple priorities and deadline-driven matters simultaneously.
- High degree of discretion and professionalism when handling confidential and sensitive information.
- Experience working with stakeholders at all levels and functions in a fast-paced environment.
- Active California Notary Public commission, or willingness to obtain one, is a plus.

Base compensation range: $90,000-105,000
In accordance with California law, the range provided is Viant’s reasonable estimate of the compensation for this role. Final title and compensation for the position will be based on several factors including work experience and education.
