About the Role

Our client is seeking to appoint an accomplished and commercially astute Non-Executive Director – Corporate Finance & Investment to join its Board of Directors.

This strategic Board appointment is designed for a highly respected executive with extensive experience in corporate finance, investment management, capital raising, financial strategy, investor relations, and business growth The successful candidate will provide independent oversight, strategic counsel, and governance while supporting the Board in driving sustainable growth, strengthening financial performance, and enhancing long-term shareholder value.

Leveraging a strong network across the investment and financial ecosystem, the successful candidate will contribute to capital mobilisation initiatives, strategic partnerships, and key investment decisions that support the organization's long-term vision.

Key Responsibilities

Board Governance & Strategic Leadership

  • Provide independent oversight and strategic guidance to the Board and Executive Management.
  • Contribute to the formulation, review, and execution of the organization's long-term strategy and corporate objectives.
  • Promote the highest standards of corporate governance, accountability, transparency, and ethical leadership.
  • Review Board proposals, investment opportunities, and strategic initiatives, providing objective challenge and informed recommendations.
  • Participate actively in Board and Committee meetings, contributing to effective decision-making and governance.
  • Support Board succession planning and long-term organizational sustainability.

Corporate Finance & Investment Strategy

  • Advise the Board on corporate finance, investment strategy, capital structure, and financial sustainability.
  • Provide strategic insight on investment opportunities, business expansion, mergers, acquisitions, joint ventures, and strategic alliances.
  • Evaluate major investment proposals and provide guidance on commercial viability, financial returns, and associated risks.
  • Support the development of long-term financial strategies that enhance enterprise value and shareholder returns.
  • Contribute to portfolio growth strategies and capital allocation decisions.

Capital Raising & Investor Relations

  • Support institutional fundraising and capital mobilisation initiatives.
  • Leverage an extensive professional network to facilitate relationships with institutional investors, private investors, development finance institutions (DFIs), family offices, commercial banks, and strategic investment partners.
  • Provide strategic guidance on equity financing, structured finance, debt capital, and investment transactions.
  • Enhance investor confidence through effective governance, financial oversight, and strategic leadership.
  • Support Executive Management during investor engagements, fundraising initiatives, and strategic financing discussions.

Financial Oversight & Business Performance

  • Review financial performance, budgets, forecasts, business plans, and long-term financial projections.
  • Advise on financial performance improvement, capital allocation, profitability, liquidity, and investment returns.
  • Monitor organizational performance against strategic and financial objectives.
  • Provide independent guidance on business growth, expansion opportunities, and financial sustainability.
  • Contribute to initiatives that strengthen enterprise value and maximize shareholder returns.

Risk Management & Corporate Governance

  • Ensure appropriate governance, compliance, and enterprise risk management frameworks are maintained.
  • Monitor strategic, financial, operational, and investment risks across the organization.
  • Promote sound governance practices, transparency, accountability, and ethical leadership.
  • Ensure compliance with all applicable statutory and regulatory requirements.

Stakeholder & Strategic Relationship Management

  • Build and maintain strong relationships with investors, regulators, financial institutions, and strategic partners.
  • Enhance the organization's credibility and visibility within the investment and financial services community.
  • Represent the organization at Board-level engagements, investor meetings, industry forums, and strategic business events.
  • Facilitate strategic partnerships that support sustainable business growth and long-term value creation.

Qualifications

  • Bachelor's Degree in Finance, Economics, Business Administration, Accounting, Law, or a related discipline.
  • MBA, Master's Degree, or other relevant postgraduate qualification is highly desirable.
  • Professional certifications such as CFA, CIS, CIBN, ICAN, ACCA, or equivalent will be an added advantage.

Experience

  • Minimum of 20 years' progressive executive leadership experience.
  • Demonstrated experience in one or more of the following:
