THE ROLE:

We are seeking an experienced Company Secretary & Legal Entity Management Manager to oversee the governance, compliance, and administration of the company's global legal entity portfolio. This role is responsible for ensuring that all corporate entities operate in compliance with applicable statutory and regulatory requirements while maintaining strong corporate governance standards.

The successful candidate will partner closely with Legal, Finance, Tax, HR, and external advisers to manage entity lifecycle events, board governance activities, regulatory filings, and corporate records across multiple jurisdictions

This is a permanent, full-time opportunity to join our Belfast Legal Entity Management team dedicated to providing support to our clients.

Responsibilities

  • Corporate Governance & Company Secretarial
  • Manage company secretarial activities for a global portfolio of legal entities.
  • Coordinate and support Board and Committee meetings, including agenda planning, preparation of board papers, minute taking, and follow-up actions.Ensure compliance with corporate governance frameworks, constitutional documents, and statutory obligations.
  • Maintain accurate statutory registers, corporate records, and governance documentation.
  • Provide governance advice and guidance to directors, senior leaders, and stakeholders.
  • Oversee the maintenance and administration of domestic and international legal entities.
  • Manage the full entity lifecycle, including incorporations, dissolutions, liquidations, restructures, mergers, and acquisitions.Ensure timely completion of annual filings, regulatory submissions, licenses, and statutory requirements.
  • Maintain entity management databases and corporate record systems.
  • Coordinate with external corporate secretarial providers, law firms, and regulatory bodies.
  • Monitor and assess changes in corporate governance and regulatory requirements across relevant jurisdictions.
  • Ensure adherence to local corporate laws, filing deadlines, and compliance obligations.
  • Support internal audits and compliance reviews relating to legal entities and governance matters.
  • Identify and mitigate governance and compliance risks.
  • Develop and enhance policies, procedures, and controls related to legal entity management

QUALIFICATIONS

  • Undergraduate degree
  • 7+ years company secretarial or Compliance/Regulatory experience
  • Experience leading/managing Annual General Meetings and Extraordinary General Meetings
  • Knowledge of US regulatory environment
  • Excellent attention to detail
  • Regular client-facing experience
  • Good commercial awareness, working directly with business managers
  • Strong written and verbal communication and presentation skills
  • Strong working knowledge of Microsoft Office, particularly Excel
  • Legally eligible to work in the United Kingdom
  • Familiarity with Blueprint Company Secretarial Software
  • Experience working within the financial services sector
  • Knowledge of companies legislation outside of the UK
  • Exposure to Pan-European investment structures

As a member of an ISO Compliant centre, the candidate will be required to follow the policies and procedures on Information Security Management System in place at the Centre of Excellence and globally at Factor. As a member of the Factor team, the applicant will have access to various company and client assets and will be required to maintain the level of security as identified for each asset.
