Job Description

We are seeking a highly motivated and business-oriented legal professional to lead the organization's legal, compliance, corporate governance, and commercial contracting functions. The role will serve as a strategic partner to business, finance, HR, technology, and operations teams by providing practical legal advice, ensuring regulatory compliance, managing contractual risks, supporting investments and corporate transactions, and driving process excellence.

The ideal candidate will possess strong expertise in commercial contracting, regulatory compliance, risk management, data privacy, intellectual property, and corporate legal matters, coupled with sound commercial and financial acumen.

Key Responsibilities

Regulatory Compliance & Corporate Governance

  • Manage statutory, regulatory, and corporate compliance requirements.
  • Coordinate secretarial compliance activities and maintain statutory records.
  • Liaise with regulatory authorities, auditors, consultants, and external advisors.
  • Develop and monitor compliance frameworks, policies, and governance controls.
  • Ensure adherence to applicable corporate, labor, commercial, and industry-specific regulations.

Contract Management & Commercial Legal Support

  • Draft, review, negotiate, and manage a broad range of commercial agreements.
  • Lead negotiations of Master Service Agreements (MSAs), Statements of Work (SOWs), NDAs, vendor agreements, partnership agreements, outsourcing agreements, and customer contracts.
  • Review and negotiate SaaS, software licensing, cloud services, technology, and IT contracts.
  • Provide legal support for RFPs, bid proposals, procurement transactions, and strategic partnerships.
  • Develop contract playbooks, templates, approval matrices, and standard contracting processes.
  • Conduct legal risk assessments and recommend practical mitigation strategies.

Corporate Law, Investments & Strategic Transactions

  • Advise on corporate law matters, restructuring, and governance issues.
  • Support investment transactions, strategic partnerships, and commercial initiatives.
  • Assist in mergers, acquisitions, joint ventures, and due diligence exercises.
  • Review transaction documents and coordinate with external advisors during deal execution.
  • Support board and management on corporate legal matters.

Intellectual Property & Data Privacy

  • Manage trademark registration, renewals, and protection strategies.
  • Support intellectual property portfolio management and enforcement actions.
  • Advise on IP ownership, licensing, and commercialization matters.
  • Ensure compliance with data privacy regulations, including GDPR, IT laws, and applicable data protection requirements.
  • Review privacy policies, data processing agreements, and security-related contractual provisions.

Claims, Litigation & Dispute Resolution

  • Manage litigation, arbitration, and dispute resolution matters.
  • Coordinate with external legal counsel and monitor case progress.
  • Support claims management, payment recovery initiatives, and commercial dispute settlements.
  • Maintain litigation records and provide regular updates to management.
  • Develop strategies to minimize legal exposure and dispute-related costs.

Finance, Commercial & Business Support

  • Provide support on finance-related queries, commercial reviews, and governance matters.
  • Review commercial terms and assess financial and operational risks.
  • Coordinate investment-related documentation, approvals, and compliance.
  • Collaborate with finance teams on audits, due diligence, budgeting, and internal controls.
  • Support payment recovery and working capital improvement initiatives.

HR & Corporate Services Support

  • Assist with HR policies, employment documentation, and employee-related compliance matters.
  • Support organizational governance initiatives and policy implementation.
  • Advise on employment-related legal and compliance issues.

Process Improvement & Legal Operations

  • Drive legal process standardization, automation, and operational excellence initiatives.
  • Create and maintain legal templates, contract repositories, SOPs, and knowledge management systems.
  • Develop and deliver legal and compliance training programs for business stakeholders.
  • Leverage technology to improve efficiency in contract lifecycle and compliance management.

Qualifications

  • LLB / BA LLB / BBA LLB from a recognized institution.
  • MBA (Finance), CMA, or equivalent qualification preferred.
  • Certifications in Data Privacy, Corporate Governance, Compliance, or Contract Management are desirable.

Experience

  • 8–15 years of experience in legal, compliance, corporate governance, or commercial contracting roles.
  • Experience supporting technology, SaaS, outsourcing, consulting, financial services, or multinational organizations preferred.
  • Demonstrated experience in commercial contract negotiation, regulatory compliance, litigation management, and corporate transactions.
