CharteredPartners is seeking an experienced mergers and acquisitions tax professional to join our client in London at Director level. The successful candidate will lead transaction-tax advisory delivery, support origination across the deals practice, and act as a senior technical reference point on acquisition structuring, due diligence and post-deal integration. Key Responsibilities:

  • Lead buy-side and sell-side tax due diligence, structuring and step-plan delivery for corporate and private-equity clients across UK and cross-border transactions.
  • Advise on acquisition structuring under UK corporation tax at 25%, including interest-deductibility, loss-relief and group-relief considerations.
  • Advise on Stamp Duty Land Tax and stamp duty implications of share and asset deals and real-estate transactions.
  • Assess Pillar Two implications for transactions, including the Multinational Top-up Tax and Domestic Top-up Tax, and reflect these in structuring and modelling.
  • Coordinate VAT, employment-tax and transfer-pricing input within integrated deal teams.
  • Support origination, proposals and relationship development with corporate acquirers, sponsors and their advisers.
  • Manage and develop managers and associates, and own technical quality and risk across reports and structuring papers.

Required Qualifications and Skills:

  • Member of the ICAEW or ACCA, or an equivalent recognised accountancy qualification.
  • Chartered Tax Adviser (CTA) of the Chartered Institute of Taxation, or clear eligibility to attain the designation.
  • At least ten years of corporate or transaction-tax experience, with substantial M&A exposure in professional services.
  • Comprehensive knowledge of UK corporation tax, the chargeable-gains rules and the loan-relationship regime.
  • Demonstrable command of acquisition structuring, debt pushdown and management-incentive arrangements.
  • Working knowledge of SDLT, VAT on transactions and transfer-pricing interactions.
  • Practical understanding of Pillar Two and its application to deals.
  • Strong report-writing skills and the ability to present findings to deal committees.
  • Excellent project-management skills under transaction timetables.
  • Right to work in the United Kingdom, or eligibility to obtain the appropriate visa.

Preferred Experience:

  • Prior experience in a Big Four or leading independent transaction-services team.
  • Exposure to private-equity fund structuring and management-equity planning.
  • Familiarity with R&D tax relief and capital-allowances considerations in deals.
  • Experience of cross-border transactions involving European and US counterparties.
  • A visible market profile through publications, panels or professional-body involvement.
  • An established network among corporate-finance, legal and sponsor intermediaries.

Compensation:

Competitive package commensurate with seniority and experience, including base, performance-based bonus, long-term incentives and (where applicable) partner-track participation.
