Position Summary

Our Deloitte Strategy & Transactions team helps guide clients through their most critical moments and transformational initiatives. We offer comprehensive end-to-end support and advisory services, covering areas such as valuation modeling, cost optimization, restructuring, business design and transformation, infrastructure and real estate, mergers and acquisitions (M&A), and sustainability. The team works closely with clients at every stage of their journey, helping them navigate challenges, avoid financial pitfalls, and implement practical solutions before, during, and after major transformational projects or transactions creating lasting impact.

Our Human Capital (HC) Diligence area is part of Deloitte’s M&A Offering, within the broader Strategy & Transactions practice. Being a Deloitte Manager in Human Capital Diligence means playing a critical role in helping our clients achieve their Human Resources (HR) M&A transformation goals, through superior work and partnership!

Work You’ll Do

Managers in our HC Diligence area lead and deliver small or components of large, complex client engagements that identify, design, and implement creative business and technology solutions for large companies. They provide service excellence by identifying key client business issues, determining client needs by supplementing the standard assessment techniques and tools with innovative approaches, and evaluating and validating analysis and developing recommendations for the client in the context of the overall engagement. Managers implement and oversee the quality of deliverables and effectively manage the team and day-to-day relationships to ensure exceptional performance. They participate in the development and presentation of proposals for business development activities. Responsibilities include but are not limited to:

  • Perform Human Capital due diligence (some or all of compensation, benefits, HR compliance, labor relations, HR communications, operations and technology, talent and culture) and post-deal integration / separation activities by identifying and quantifying transaction risks and opportunities. Key focus will include both traditional financial and compliance risks associated with compensation and benefit programs and also the deal risks associated with HR operations and technology, organizational culture, and broad labor and talent
  • Review financial statements, trial balance details, government filings, employee census data, employment agreements, CBAs, and employee benefits and compensation documentation
  • Prepare data request lists and call agendas to facilitate diligence
  • Collaborate across internal and external stakeholders, including other Deloitte diligence workstreams, legal counsel, investment banks, and Client’s HR leadership
  • Facilitate interviews with Target management team
  • Complete analysis including compensation benchmarking, individual equity proceeds (waterfall analysis or fully diluted share count), employee benefits side-by-side and migration cost analysis, executive compensation review including retention, severance, and transaction bonuses, turnover, and open positions
  • Review and analyze HR function stand-alone structure and costs for carve-out situations
  • Contribute material employee-related findings to the Quality of Earnings and Debt-Like analysis
  • Prepare and deliver report findings

The Team

Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.

Deloitte’s people, processes, and technologies enable efficient, effective due diligence across financial, operational, and commercial areas, allowing you to focus on strategic priorities. Our Strategy & Diligence team helps clients identify risks, value drivers, and synergy opportunities for acquisitions and divestitures, supporting value creation and post-deal success. HC Diligence is one of many functional, expert services within Strategy & Diligence focusing on organization design and retention, compensation and benefit plans, HR operations, employee matters, culture, and employee engagement.

Qualifications

Required:

  • Experience supporting and delivering at least 50 M&A Human Capital due diligence projects
  • 6+ years of experience performing Human Capital due diligence (some or all of compensation, benefits, HR compliance, labor relations, HR communications, operations and technology, talent and culture) and post-deal integration / separation activities by identifying and quantifying transaction risks and opportunities
  • 6+ years of experience in a consulting and/or industry role focused on employee related matters including compensation and benefit program design, retirement or health care consulting, HR strategy or operations, and /or talent solutions
  • 6+ years experience working in HR functions & processes, with experience in one or more of the following areas: HR Strategy, HR Employee Experience, HR Operating Models, HR Mergers & Acquisition (M&A), HR Outsourcing Advisory, and HR Technology
  • Experience assisting in business development and/or writing proposals for consulting work
  • Bachelor’s degree and 6+ years consulting and/or industry experience; alternatively, an MBA with 4+ year relevant work experience including change management initiatives, communications development, organizational design and development, HR strategy or operations, and /or talent solutions
  • Limited immigration sponsorship may be available
  • Ability to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you serve

Preferred:

  • Actuarial exams or designation, other HR credentials (CCP, GRP, CEMS, CMS, etc.), MBA, or graduate degree in HR or Organizational Behavior (preferred but not required)
  • 5+ years of experience with Human Capital Mergers and Acquisitions, restructuring and/or enterprise cost reduction, including a background in due diligence, assessment of transaction risks, target screening, integration planning and execution, and/or post-merger integration
  • Experience in financial statement and operations analytics
  • Experience supporting workshops, large meetings, or presentations to senior leaders
  • Ability to execute a project plan, managing to deadlines and paying acute attention to detail
  • Demonstrated strong business acumen and ability to work effectively across teams, levels and varying cultures
  • Strong oral and written communication skills, including presentation skills (MS PowerPoint), data analysis (MS Excel, Tableau, or SQL) and report writing
  • Strong problem-solving skills with the ability to exercise mature judgment
  • Experience in HR, Consulting, and/or Corporate Communications
  • Experience supporting workshops, large meetings, or presentations to senior leaders

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $155,600 to $245,400.

You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
