A. PROFILE

Role Title: Legal Senior Manager

Reporting to: Legal Director

Division: Legal

Department / Section: Legal

B. CONTEXT

Purpose To manage U9's external contractual relationships and the provision of legal advice and counsel to internal stakeholders re commercial contractual obligations and local laws and practices to support U9's day-to-day business operations, so as to minimise legal risk to the company.
Context Legal Department is responsible for providing legal guidance, support & counselling on all legal and compliance matters to a range of internal customers across the organization to address all legal risks and safeguard the organisation's interest in contractual dealings with external parties. It is also responsible for effective management of the organisation's relationship with the regulators, government ministries, senior government officials and ensuring legal compliance.

This role is responsible for providing legal guidance, support & counselling on all legal and contractual matters, to a range of internal customers across the organization; to address all legal risks and safeguard the organisation's interest in contractual dealings with external parties.

C. ROLE ACCOUNTABILITIES

Business Legal Advisory

  • Liaise with internal business owners to understand business needs and provide practical legal advice that supports business objectives while protecting the Company's interests.
  • Develop strong business understanding to provide appropriate and commercially sound legal solutions.

Commercial Contracting

  • Draft, review and negotiate commercial agreements and provide legal support across Procurement & Logistics, Corporate Communications, S&D, Marketing, Digital and MFS.
  • Ensure contracting processes are timely, thorough and effectively support business requirements.

Legal Advisory

  • Advise on applicable local laws, regulations and practices, including tax, real estate/property, community issues and other legal and regulatory matters impacting the business.
  • Identify and appropriately manage legal and contractual risks.

Stakeholder Management

  • Maintain effective working relationships with internal stakeholders, external vendors, suppliers and contractual counterparties to facilitate smooth business operations and contract execution.

Team Development

  • Provide guidance and coaching to junior Legal team members to support their legal knowledge, skills and professional development.
  • Provide appropriate support to Legal Manager and Legal Specialist in fulfilling their respective responsibilities.

Continuous Improvement

  • Identify opportunities to improve legal support and contracting processes to facilitate business while maintaining appropriate legal and regulatory controls.

D. KEY PERFORMANCE INDICATORS

  • Contracting Effectiveness - Contracts are handled in a timely, thorough and commercially appropriate manner, with legal support enabling business objectives while appropriately managing legal and contractual risks. Internal stakeholders are satisfied with the quality and responsiveness of legal support.
  • External Stakeholder Management - Effective and professional working relationships are maintained with external vendors, suppliers and contractual counterparties to facilitate smooth contract execution and ongoing business relationships.
  • Team Capability Development - Junior members of the Legal team receive appropriate guidance, coaching and support, enabling them to strengthen their legal knowledge, commercial understanding and practical legal skills.

E. WORKING RELATIONSHIPS & DECISION MAKING

Interacts with:

Internal: Management and operations staff of each department of the business, as appropriate.

External: Operations staff of external partners of U9 and operations staff of Government and agencies.

Decision Making

Autonomy to make substantive legal decisions. Consultation with Legal Director and or CLO, CRO in matters with potential for significant risk to U9

F. EXPERIENCE AND QUALIFICATIONS

Minimum Experience & Essential Knowledge

  • Minimum 5 – 10 years PQE
  • Minimum 5 years' experience as in-house counsel of a multinational corporation or as associate counsel in an international law firm
  • Experience in telecommunications an asset
  • Advanced proficiency/fluency in Business English

Minimum Entry Qualifications

  • Bachelor of Laws (LLB) degree or other suitable undergraduate law degree
  • Admission to practice in Myanmar courts
