Greenvolt Power France is looking for a Legal Manager (Temporary – Maternity Leave Cover) to join its team from 1st July 2026 to 31st January 2027.

The selected candidate will be responsible for ensuring full legal compliance and corporate governance across the Greenvolt Power Group companies in France during this period. This role will cover both corporate and commercial/operational legal matters related to the development of renewable energy projects, ensuring continuity of legal support to business operations and coordination with internal and external stakeholders.

This is a fixed-term contract, aimed at ensuring business continuity during the maternity leave of the current Legal Manager.

Key accountabilities

Corporate matters :

  • Drafting of minutes of general assemblies of management board and shareholders, decisions and resolutions of the company’s bodies;
  • Maintaining book of minutes of the management board;
  • Keeping all the public registers for all the companies up to date, including the court registry and the ultimate beneficial owners’ registry;
  • Supervising and coordinating the day-to-day administration of all companies within the Greenvolt Power Group in France, i.e.: maintaining up to date internal registers, ledgers and graphic charts of members of management boards and shareholders;
  • Ensure the creation, administrationand corporate monitoring of SPVs
  • Taking care of the correspondence to and from the companies;
  • Taking care of any additional matters related to legal assistance to the companies.

Operational matters :

  • Providing legal opinions or preparation of any necessary commercial contracts for all the companies within Greenvolt Power Group in France related to development of renewable energy projects (Wind, Solar, BEES), including among others real state matters, development matters, procurement matters) agreements with local authorities, etc;
  • Contacting public administration, if required.
  • Coordinating all legal due diligence processes carried out by the companies within the Greenvolt Power Group in France;
  • Development: Drafting, reviewing, and negotiating a wide range of real estate contracts and deeds (e.g. sale and purchase, easement rights deeds, etc.),
  • Procurement contracts: drafting and negotiating EPC, supply agreements, service agreements, BOP, BOS, framework agreements, and partnership agreements)
  • M&A transactions: providing support on Due diligences processes andSPA, APA, JVA, etc and other documents related with the aforementioned ones;
  • Commercial Contracts: PPAs, toling agreements, etc.
  • Financing: providing support to the finance department on Termsheets, Facility agreements, etc.
  • Providing legal advice and support on matters pertaining to French civil law, commercial law and administrative law;
  • Developing the legal strategy for each project and ensure their legal compliance.
  • Preparing legal communications, reports, and presentations for internal and external use;
  • Upkeeping relationships with law firms, notaries and other third parties, when required;
  • Maintaining and updating the legal agenda, including monitoring deadlines for legal proceedings, corporate obligations, and contractual commitment;
  • Ensure regulatory monitoring
  • Developing and applying necessary systems that ensure the companies comply with all applicable legal and statutory requirements; as well as implementing of all the Group internal procedures, policies and practices.

Requirements

  • Master’s degree in law with lawyer / legal adviser apprenticeship finalized.
  • Around 5 years of working experience in a law firm or as in-house counsel with a focus on contract law, civil law, and commercial law.
  • Very good knowledge of corporate and transactional law.
  • Good knowledge of energy and administrative law regulations.
  • Strong understanding of the renewable energy sector.
  • Experience in drafting and reviewing legal documents.
  • Experience in interpreting legislation into practical application.
  • Excellent knowledge of the French and English language.
  • Good interpersonal, communication, public speaking and negotiation skills.
  • Ability to explain and make a subject understandable to people who are not familiar with it
  • Ability to work under pressure and meet deadlines.
  • Ability to travel, if needed.
  • Good time management skills and ability to organize, multitask, prioritize.
