Job Description

TGP International

TGP International is seeking a Legal Manager based in Cairo, Egypt to provide day-to-day legal support across our international business. The role will work closely with the Leadership Team, Finance, Business Development and operational teams to manage contractual risks, support commercial decisions and coordinate external legal advice.

We are looking for a commercially minded legal professional who can handle a varied workload, give clear, practical advice and manage time-sensitive matters across multiple jurisdictions.

Key Responsibilities

Commercial contracts and legal support

  • Draft, review and negotiate commercial agreements, including NDAs, service, consultancy, supplier, concession, licence, collaboration, management and operational agreements.
  • Review letters of intent, term sheets, proposals and contractual documentation for RFPs and tenders.
  • Advise on commercial terms, contractual obligations and legal risks, recommending practical solutions.
  • Prepare notices, acknowledgements, NOCs, undertakings and other legal correspondence.
  • Prepare final execution documents and coordinate approvals and signatures.
  • Provide ongoing legal advice to the Leadership Team and relevant departments.

Employment, governance and compliance

  • Draft and review employment contracts and related documentation, working closely with HR on employment matters.
  • Prepare and coordinate powers of attorney, board and shareholder resolutions, and corporate documentation.
  • Review and update internal policies, terms and conditions, privacy documents and governance materials.
  • Support corporate compliance and company-secretarial requirements, coordinating with local advisers where needed.
  • Identify and escalate significant legal, regulatory and commercial risks.

Complex matters and external counsel

  • Support complex or high-value agreements, bespoke negotiations, shareholder and investment agreements, joint ventures and corporate restructuring.
  • Coordinate specialist advice on intellectual property, data protection, regulatory and other legal matters.
  • Support the management of disputes, settlement negotiations, litigation and arbitration alongside external counsel.
  • Coordinate legal advice across jurisdictions, identifying when local or specialist counsel is required.
  • Manage external legal providers, including scope, fee proposals, budgets, service quality and invoicing, securing internal approval before additional costs are incurred.

Legal operations and reporting

  • Establish a clear process for receiving, prioritising and tracking legal requests.
  • Maintain organised records of contracts, legal advice, approvals and key deadlines.
  • Monitor contractual obligations, renewal dates and termination notice periods.
  • Develop standard templates and improve legal workflows.
  • Provide monthly reporting on completed, ongoing and pending matters, significant risks and external legal expenditure.
  • Deliver timely support for routine and urgent matters.

Requirements

Candidate Requirements

  • A degree in Law and a relevant professional legal qualification.
  • Proven experience in an in-house legal role or commercial law firm, with the ability to manage legal matters independently.
  • Strong experience drafting and negotiating commercial contracts.
  • Sound knowledge of Egyptian law and experience coordinating legal matters across jurisdictions; exposure to the UAE, KSA or wider GCC would be an advantage.
  • Excellent written and spoken English and Arabic.
  • Strong commercial judgement and the ability to explain legal issues clearly to non-legal colleagues.
  • Excellent organisational skills, attention to detail and the ability to manage competing deadlines.
  • Experience managing external counsel and legal budgets.
  • A high level of discretion, integrity and professionalism.
  • Experience in hospitality, food and beverage, consultancy, design, events or related sectors would be an advantage.
