A. PROFILE
Role Title: Legal Manager
Reporting to: Chief Legal Officer

B. CONTEXT
Purpose This role provides dedicated legal advisory and operational support to the Technology Department. The position ensures legal compliance for technology-related projects, agreements, regulatory obligations, and operational matters. Given the volume and complexity of legal needs within Technology—including legal assessments, interpretation, SLA penalties, vendor contracts, and regulatory filings—this role will directly support the CTO and the Technology leadership team.
Context Legal Department is responsible for providing legal guidance, support & counselling on all legal and compliance matters to a range of internal customers across the organization to address all legal risks and safeguard the organisation's interest in contractual dealings with external parties. It is also responsible for effective management of the organisation's relationship with the regulators, government ministries, senior government officials and ensuring legal compliance.
This role is responsible for providing legal guidance, support & counselling on all legal and contractual matters, to a range of internal customers across the organization; to address all legal risks and safeguard the organisation's interest in contractual dealings with external parties.
C. ROLE ACCOUNTABILITIES
1. Legal Operations & Advisory
- Provide legal advisory support for all technology-related initiatives and innovation projects.
- Ensure compliance with technology-specific legal requirements.
- Advise management on legal implications of operational decisions, regulatory changes, and business strategies.
- Identify potential legal risks and recommend practical solutions to support smooth technology operations.
2. Legal & Compliance Management
- Draft, review, and negotiate technology-related agreements, including vendor contracts, software licenses, SLAs, lease agreements, and service provider partnerships.
- Provide legal oversight for Technology projects to ensure compliance with investment laws and regulatory commitments.
- Support legal matters related to IP protection, trademark registration, and brand compliance.
- Monitor regulatory updates, interpret applicable laws, and advise on legal obligations across relevant areas (technology, tax, employment, real estate, distribution, etc.).
3. Stakeholder Engagement & Advisory
- Serve as the primary legal liaison for government authorities, ensuring proactive engagement and compliance.
- Provide clear legal advice to internal stakeholders in both English and Myanmar.
- Guide business teams on contracts, compliance requirements, and risk management.
4. Operational Legal Support
- Review, update, and maintain contract templates to align with business and legal requirements.
- Support operational teams in managing external stakeholder relationships with transparency and compliance.
5. People Leadership & Development
- Provide coaching and training to internal teams on compliance, IP protection, contract standards, and legal processes.
6. Risk & Governance
- Identify, assess, and mitigate legal risks associated with technology deployments, investments, and brand initiatives.
- Establish governance standards for contract management, compliance tracking, and regulatory reporting.
- Advise senior management on legal threats, opportunities, and potential business impact arising from new or amended laws and regulations.
D. KEY PERFORMANCE INDICATORS
- Provide timely and effective legal support to internal stakeholders in establishing contractual relationships with key partners, including contract drafting, negotiation, approval, and execution.
- Deliver strategic legal advice to the business on managing contractual relationships, including handling disputes and mitigating risks.
- Advise on applicable local laws and regulatory requirements relevant to U9's operations, and work closely with the Legal Specialist to ensure full compliance.
- Develop a strong understanding of each department's business needs and processes to manage stakeholder expectations and ensure efficient, accurate contract development and output.
E. WORKING RELATIONSHIPS & DECISION MAKING
Interacts with:
Internal: Collaborate with management and relevant personnel across all departments, as needed
External: Relevant personnel from U9's external partners, government bodies, and related agencies.
Decision Making
Autonomy to make substantive legal decisions. Consultation with Legal Director and or CLO, CRO in matters with potential for significant risk to U9
F. EXPERIENCE AND QUALIFICATIONS
Minimum Experience & Essential Knowledge
- Minimum 5 – 10 years PQE
- Minimum 5 years' experience as in-house counsel of a multinational corporation or as associate counsel in an international law firm
- Demonstrated expertise in:
- Technology contracts and digital transformation legal frameworks
- Intellectual property (IP) law and brand protection
- Experience in telecommunications an asset
- Strong leadership skills with a proven record of influencing senior stakeholders.
- Advanced proficiency/fluency in Business English
Minimum Entry Qualifications
- Bachelor's or Master's Degree in Law (LL.B / LL.M)
- Admission to practice in Myanmar courts
