Job Description

EUROPEAN DYNAMICS (ED) is an international Information Technology group, present in over 10 countries internationally. ED is looking for an experienced, senior Legal Counsel who will lead, build and run its Legal Department — recruiting and managing the legal team and organising the department’s affairs, workflows and processes, and offer his/her services in the company’s premises in Marousi, Athens.

Tasks:

The Legal Counsel will undertake and/or coordinate a wide range of activities customary to a corporation, such as the following:

  • Build, lead and manage the Legal Department team, including recruitment, mentoring, performance management and professional development of legal staff;
  • Organise and continuously improve the Legal Department’s structure, workflows, policies and internal procedures, ensuring they support the Group’s fast-paced, multi-country operations;
  • Draft, review, and negotiate contracts: employment agreements, freelance and subcontracting contracts, contracts with clients, teaming and cooperation agreements, confidentiality agreements, NDAs (Non Disclosure Agreements), DPAs, etc.;
  • Draft and/or review legal letters;
  • Draft BoD (Board of Directors) and GA (General Assembly) minutes;
  • Issuance of legal documents (i.e. certifications, criminal records, etc.);
  • Assistance to operational teams in the day-to-day management of projects;
  • Legal research into complicated areas, so that to deliver user-friendly advice to internal stakeholders;

· Litigation before national courts;

  • Identify and anticipate legislative and regulatory changes and recommend appropriate action conducting risk assessments;
  • Support the implementation of GDPR requirements and provide assistance in the management;
  • Review of employees’ handbooks, codes of conduct and other internal policies;
  • Manage and coordinate external counsel and law firms across ED’s international jurisdictions;
  • Provide legal support on mergers & acquisitions, corporate transactions and due diligence, and advise on IT/technology-specific contracts, software licensing and data protection matters;
  • Ensure compliance with EU public procurement rules applicable to ED’s institutional and governmental clients, and report directly to the CEO and Executive Management on legal risk, strategy and department performance;
  • Prepare legal files to seek judicial protection.

Requirements

  • University Degree in Law – Member of a Bar Association in Greece;
  • 10+ years of experience as a legal counsel, including experience leading a legal team, ideally gained within a corporation operating in the IT / high technology sector or another fast-paced, international business environment;
  • Excellent written and verbal communication skills in Greek and English; good knowledge of German or French, would be an advantage;
  • Substantial knowledge of MS Office tools;
  • Proven track record of building, leading and managing a legal team, including recruitment, mentoring and performance management, and of independently organising a department’s affairs, workflows and priorities;

· Litigation experience;

  • Prior experience in a high technology is strongly preferred, including familiarity with IT / high technology contracts and EU public procurement law;
  • Experience managing external counsel and handling legal matters across multiple jurisdictions;
  • LLM or experience in one or a combination of the following will be considered an asset: EU law, public procurement law, labour law, corporate law, contract law;

Professional integrity, efficiency, organizational and creative spirit, multitasking, communication and negotiation skills, and able to work in a fast-paced international business environment, with strong leadership and people-management skills and a demonstrated ability to run and organise a department independently
