Legal Counsel – Corporate & Contracts at AXA Partners

Location: Malakoff | Type: Permanent (CDI)

Join our team as a Legal Counsel (Corporate & Contracts) and support AXA Partners’ legal team in overseeing corporate governance, regulatory compliance, and international contract negotiations for a global group of companies.

What you’ll be doing

Key Responsibilities:

• Corporate Governance:
• Oversee the corporate governance of approximately 70 entities worldwide, including the Board of Directors and General Meetings.
• Prepare schedules, notices, agendas, proxies, and supporting materials for meetings.
• Draft meeting minutes and handle legal formalities such as updating corporate registration extracts, filing annual accounts, legalization, and apostilles.
• Update corporate registers and coordinate regulatory reporting to the ACPR, especially regarding outsourcing.
• Respond to inquiries from local legal counsels and arrange for signing of corporate documents.
• Keep the Group Galaxy database current in coordination with local legal teams.
• Contracts & Partnerships:
• Advise sales teams, especially in the Travel business line, on legal obligations related to the distribution of insurance products across Europe.
• Assist in the creation of insurance and distribution contracts, drafting and negotiating international commercial agreements with partners and distributors on a B2B2C basis.
• Support sales teams during international tenders, ensuring legal and regulatory compliance.
• Act as a strategic partner, proposing solutions and alternative approaches to project progress.
• Governance & Control:
• Ensure legal and regulatory governance and risk management frameworks are consistent and effective.
• Collaborate closely with Compliance and Data Protection teams to ensure alignment during negotiations.
• Work with cross-functional teams such as Sales & Marketing, Procurement, Finance, and Operations to support strategic initiatives.
• Escalate issues requiring approval to the appropriate channels.

​What you’ll bring:

• Master’s degree in Business, Commercial, or Corporate Law.
• 4-5 years of experience in an international company/group or law firm.
• Fluent in French and English, both written and verbal.
• Organized, pragmatic, flexible, with strong interpersonal and communication skills.
