Job Description

The Legal Department is seeking a business-oriented and collaborative Junior Commercial & Contracts Attorney to support a broad range of commercial transactions and strategic business initiatives across the organization. This role will provide practical legal advice and contract support to business partners, with a primary focus on sales, services, engineering, supply, procurement, and other commercial agreements.

The successful candidate will work closely with cross-functional teams, including Sales, Engineering, Operations, Supply Chain, Procurement and other stakeholders to help facilitate business objectives while appropriately managing legal and commercial risk. This position offers an excellent opportunity for an attorney with strong commercial contracting experience to further develop as an in-house legal practitioner in a dynamic technology and business environment.

Key Responsibilities

Commercial Contracting

  • Draft, review, negotiate, and advise on a wide range of commercial agreements, including:
  • Customer sales agreements
  • Services agreements
  • Master services agreements (MSAs)
  • Statements of Work (SOWs)
  • Engineering and development agreements
  • Supply, procurement, and vendor agreements
  • Non-disclosure agreements (NDAs)
  • Technology and licensing agreements
  • Other commercial and operational contracts as required
  • Provide practical and business-focused legal guidance regarding contractual rights, obligations, and risk allocation.
  • Identify legal and commercial risks and recommend balanced solutions that support business objectives while protecting company interests.
  • Assist in developing, maintaining, and improving contract templates, negotiation playbooks, and contracting processes as assigned.
  • Support both domestic and international commercial transactions, as needed.

Business & Cross-Functional Support

  • Partner closely with Sales, Engineering, Supply Chain, Procurement, Operations, and other business teams throughout the contract lifecycle.
  • Collaborate with stakeholders to facilitate efficient contract review and execution while ensuring compliance with company policies and legal requirements.
  • Assist internal clients in evaluating legal and business risks associated with commercial transactions and strategic initiatives.
  • Provide guidance to business partners on contracting best practices and legal considerations.

Legal Projects & Department Support

  • Support special projects, strategic initiatives, and other legal matters as assigned by the Director of Legal or General Counsel.
  • Assist with implementation of legal process improvements, knowledge management initiatives, and contract management practices.
  • Coordinate with outside counsel when necessary.
  • Contribute to continuous improvement efforts within the Legal Department.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in the California Bar and in good standing.
  • Minimum of 5 years of relevant legal experience, including experience in-house and/or at a law firm supporting commercial transactions.
  • Demonstrated experience drafting, reviewing, and negotiating a wide variety of commercial agreements.
  • Strong contract drafting and negotiation skills.
  • Excellent written and verbal communication skills.
  • Strong analytical, problem-solving, and organizational abilities.
  • Ability to manage multiple priorities and work independently in a fast-paced environment.
  • Sound business judgment and practical approach to risk management.

Preferred

  • Experience supporting technology, engineering, manufacturing, semiconductor, industrial, or other business-to-business commercial environments.
  • Experience supporting sales, procurement, supply chain, engineering, or services organizations.
  • Familiarity with intellectual property, software, data privacy, and technology-related contractual issues.
  • Experience working in a global business environment.

Salary Range

Bay Area Target Salary Range - $160,000 - $200,000 DOE
