Internal Job Title: Legal Counsel

Job Type: Permanent, Full-Time

Location: 145 Richmond Road, Ottawa

Work Model: Hybrid (3 to 4 days per week on-site on average)

As a Legal Counsel you will act as an in-house generalist supporting CBN’s various business divisions which operate in Canada, the United States, the Caribbean, Central America, Oceania, and Europe.

CBN’s current business groups include:

  • Currency and Excise (currency, excise stamps, excise stamps issuing systems)
  • Border Management (passports, visas, border management systems, and cargo screening)
  • Driver’s Licences (driver’s licences, identification cards and motor vehicle systems)
  • Lottery Systems (electronic lotteries, sports betting, Video Lottery Terminals(VLTs), iGaming)
  • Charitable Gaming (electronic bingo, electronic raffle systems, sweepstakes)
  • Research and Development (nano-technology and cancer therapy)

You will report to the Vice President Corporate Affairs and will be joining a legal team that is collegial and consists of a close-knit group of 6 lawyers, and 5 legal support staff all based in Ottawa.

Core Responsibilities

Principle Responsibilities:

  • Support CBN’s charitable business group ( www.bumpcbn.com) by drafting and negotiating raffle services agreements
  • Ensure all required business and gaming registrations are maintained in Canada, the USA and Europe.

Additional Responsibilities:

  • Draft, review and negotiate commercial agreements with both domestic and international customers.
  • Draft, review and negotiate commercial agreements with both domestic and international suppliers.
  • Identify legal and business risks associated with transactions and propose mitigation strategies.
  • Support CBN Purchasing and Logistics teams with complex transactions.
  • Assist CBN Business Development teams with request for proposal (RFP) responses.
  • Assist with corporate registration for CBN and its affiliates.
  • Liaise with various internal departments to ensure CBN and its affiliates are compliant with applicable laws/best practices.
  • Assist CBN in maintaining its various registrations including ISO 9001, ISO 14001, ISO-Intergraf 14298, SOC2, ISO 27001, ISO 45001, FSC SECRET Level (II)
  • Assist CBN and its affiliates in the areas of privacy, anti-money laundering, and anti-terrorism financing in the jurisdictions where CBN and its affiliates operate.
  • Provide legal assistance as CBN manages its real estate properties in Canada, the US, Europe and the Caribbean.

Qualifications

Minimum Qualifications

  • Legally eligible to work in Canada
  • Fluent in English (speak, read, write)
  • Able to obtain (in a timely manner) and maintain Government of Canada Secret (Level II) clearance
  • A LLB or JD
  • Membership in the Law Society of Ontario (preferred) or another Canadian jurisdiction
  • 2-5 years of experience in a law firm and/or in-house legal department
  • Experience negotiating and drafting commercial agreements (e.g., non-disclosure agreements, technology licensing agreements, professional services agreements, leases, etc.)
  • Plain language contract drafting skills
  • Negotiation skills
  • Proficiency in Microsoft O365, Adobe Pro

Preferred Qualifications

  • Membership in the Law Society of Ontario
  • Previous procurement experience (especially in the public sector)
  • Familiarity with Public Services and Procurement Canada’s Contract Security Program
  • Familiarity with privacy law, anti-money laundering law and anti-terrorism financing law
  • Fluency in French and/or Spanish (speak, read, write)
