Job Description

【工作內容】
本職位為公司唯一法務窗口，需能獨立承擔公司整體法務與法遵工作，並作為各單位在業務推進過程中的法律顧問角色。

1.合約審閱與撰擬
▶獨立審閱、撰擬及協商各類合約
▶軟體系統銷售／授權合約
▶系統建置、維運（Maintenance / Support）合約
▶客戶交易合約、商務合作合約、保密協議（NDA）等
▶提供合約風險評估與修改建議，協助業務及專案團隊順利推進合作。
2.公司內部法律諮詢與法規研究
▶提供各部門（業務、專案、採購、人資、管理單位等）日常法律諮詢。
▶進行相關法規研究，並就具體案件出具法律意見或書面報告。
3.爭議案件與訴訟處理
▶處理公司爭議事件，包含：訴訟、調解或仲裁案件之資料蒐集與初步分析書狀撰擬、與外部律師聯繫
▶視需要出席開庭或調解程序
▶擔任公司與外部律師、顧問之主要窗口。
4.法遵制度與內控流程建置
▶制定、檢視及管理公司內部法遵規範、制度與流程。
▶協助公司降低營運與交易相關之法律風險。
5.合約與法律文件管理
▶負責合約及法律文件之建檔、歸檔、管理與版本控管。
▶管理用印及簽核流程，確保流程合規並有效率。
6.印花稅及相關法定事項
▶負責印花稅計算、繳交與相關申報作業。
7.法務／法遵教育訓練
▶規劃並執行公司內部法務或法遵相關教育訓練，提升同仁法律風險意識。
8.法務專案與主管交辦事項
▶依公司發展需求，執行其他法務專案與主管交辦事項。

【必備條件】
1.法律相關系所畢業。
2.具 5 年以上法務相關工作經驗，具企業內部法務（In-house）經驗者佳。
3.具合約審閱、法律意見提供及法規研究之實務經驗。
4.能獨立作業、主動判斷風險並提出解決方案。
5.良好溝通協調能力，能與業務及非法律背景同仁合作。

【加分條件】
1.具軟體產業、資訊服務、系統整合（SI）或科技產業法務經驗。
2.曾擔任一人法務或熟悉中小型企業法務運作。
3.具訴訟、爭議處理或對接外部律師經驗。

Legal Counsel: General Business includes advice/counsel across multiple areas of business law related to an organization’s legal rights and obligations, including:

• Providing legal advice/counsel in business-related areas of expertise (e.g., corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, ethics, etc.)
• Researching, analyzing, and interpreting proposed and existing laws, statutes, and regulations
• Identifying, evaluating, and addressing issues of legal risk
• Structuring, drafting, negotiating and/or approving legal contracts, letters of agreement, policies and other documents related to a variety of trade, commercial, financial, and operational matters
• May represent/advocate for an organization in litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities
• In-house legal counsel may also be accountable for liaising with external legal counsel on complex legal issues
