The attorney would be a member of a small and specially dedicated centralized institutional fund formation legal team within Blackstone, with responsibility for leading key matters and managing junior team members, and would:
Serve as one of the main point persons for fund formation legal advice across the fundraising lifecycle for Blackstone’s institutional fund products, including advising on investor-facing issues and leading coordination with outside counsel and business groups on capital formation and related fund matters
Manage and develop junior attorneys and help prioritize, allocate and quality-control work across fundraising and product initiatives
Advise on negotiation of LPAs, side letters, MFN elections, subscription documents, and other fund governing and offering documents
Advise on LP experience and LP dynamics across fundraising and throughout the fund lifecycle, including helping Institutional Client Solutions and business teams anticipate and navigate investor priorities, managing precedent and MFN sensitivity, and shaping practical solutions and messaging that support long-term LP relationships while protecting the firm
Partner closely with Institutional Client Solutions, operations, business teams and L&C to drive execution on fund launches and investor negotiations, including coordinating stakeholder feedback, managing timelines, and navigating internal approvals and escalations
Support LPAC matters, fund governance, amendments, and ongoing investor relations legal issues throughout the fund lifecycle
Advise on regulatory considerations relevant to fund formation and capital raising, including matters arising under the Investment Advisers Act, Investment Company Act, ERISA and applicable securities laws
Qualifications:
10+ years of experience practicing fund formation law
In-house fund formation lawyer or from a law firm with a fund formation practice
Meaningful credit experience (e.g., private credit, structured products, NAV facilities, leverage and financing arrangements, or credit-related fund terms) strongly preferred
Experience with retail and open-ended private funds is not required but would be very helpful
Strong analytical skills with the experience to identify and proactively address legal risks in a practical, business-oriented manner
Collaborative team-oriented approach, with sound judgment, discretion, and the experience to manage multiple complex matters simultaneously in a fast-paced environment
Excellent written and verbal communication skills, with the experience to distill complex legal issues for senior business stakeholders
Experience with cross-border fundraising, non-U.S. investor structuring, and offshore fund vehicles is a plus
Demonstrated experience managing and mentoring other lawyers
J.D. from an accredited law school and admission in good standing to at least one U.S. state bar (New York preferred)

Expected annual base salary range:
$270,000 - $300,000
Actual base salary within that range will be determined by several components including but not limited to the individual's experience, skills, qualifications and job location. For roles located outside of the US, please disregard the posted salary bands as these roles will follow a separate compensation process based on local market comparables.
Additional compensation and benefits offered in connection with the role consist of comprehensive health benefits, including but not limited to medical, dental, vision, and FSA benefits; paid time off; life insurance; 401(k) plan; and discretionary bonuses. Certain employees may also be eligible for equity and other incentive compensation at Blackstone’s sole discretion.
