Job Purpose & Objectives
This role offers the opportunity to work on some of the region's most sophisticated financing transactions, Asia-Pacific, supporting BBVA's strategic growth in Project Finance, Structured Trade Finance and broader Investment Banking & Finance activities.
The successful candidate will provide high-quality legal advice, transaction execution support and legal risk management to the business across Asia-Pacific, working closely with business teams and legal colleagues in all the BBVA locations.
Key Responsibilities
Provide legal advice and transaction support in connection with a broad range of financing transactions, with a primary focus on:
Project Finance (including renewable energy, infrastructure projects…);
Structured Trade Finance (STF);
Corporate Lending and other structured lending transactions, as required.
Draft, review and negotiate financing documentation, including APLMA-based facilities agreements, security documents, intercreditor arrangements, guarantees, ancillary finance documents and other transaction documentation.
Advise on the structuring and execution of complex domestic and cross-border financing transactions, identifying legal risks and proposing commercially pragmatic solutions.
Support the business throughout the full transaction lifecycle, from mandate and structuring to signing, closing, amendments, waivers and restructurings as well as distribution and syndication.
Coordinate with internal stakeholders across Risk, Compliance, Sustainability, Operations and other control functions to ensure efficient transaction execution.
Work closely with legal teams in other BBVA jurisdictions on cross-border matters and global projects.
Support the development of new financing products, structures and strategic initiatives, including sustainable finance solutions.
Monitor legal and regulatory developments affecting lending and financing activities across Asia-Pacific and assess their impact on the business.
Select, instruct and manage external counsel, ensuring high-quality, commercially focused legal advice and efficient management of external legal costs.
Contribute to the development of internal policies, legal templates, best practices and knowledge sharing across the Legal function.
Qualifications & Experience
Qualified lawyer in recognised common law jurisdiction.
Approximately 10–15 years' post-qualification experience gained at a leading international law firm and/or the legal department of an international financial institution.
Extensive experience advising on:
Project Finance transactions (Energy and Infrastructure);
Syndicated and bilateral lending;
Structured Finance;
Sustainable Finance and/or Sustainable Trade Finance;
Cross-border financing transactions.
Strong experience negotiating LMA/APLMA documentation, security packages, intercreditor arrangements and related financing documentation.
Familiarity with restructuring transactions and derivatives documentation (ISDA and related documentation) would be an advantage.
Experience working across multiple Asia-Pacific jurisdictions would be highly desirable.
Knowledge of PRC law will be value.
