Legal & Business Affairs Manager
Your Role:
To ensure the company complies with all applicable laws and regulations while anticipating and mitigating legal risks. You will guide and supervise the legal team in all legal acts and documentation executed by the company (Mexico, Colombia) to prevent legal contingencies.
Here you’ll get to:
Leadership: Guide, advise, and supervise the activities of the legal team.
Contract Management: Draft and review various types of contracts and amendments (artistic, production, licensing, distribution, works-for-hire, advertising campaigns, synchronization licenses, broadcast authorizations/NCBs, participation waivers, service agreements, concerts, and new business) to protect group interests and avoid legal risks.
Business Advisory: Provide legal counsel to group companies and support strategic business decision-making.
Regulatory Compliance: Supervise the accurate preparation of documents in response to requirements from government authorities.
Corporate Governance: Request, review, and coordinate the formalization of meeting minutes, unanimous resolutions, delegation of powers (Power of Attorney), and the apostille process for group contracts.
Promotions & Terms: Supervise and review Terms and Conditions drafted by the team for promotions and marketing dynamics across different departments.
Policy Localization: Review group policies and adjust them according to local legislation (privacy, cookies, terms of use, etc.).
Contract Lifecycle: Work with the team to follow up with various departments, ensuring all legal documents are properly documented, executed, and signed.
Immigration & Visas: Oversee the preparation of artist entry letters and support documentation for visa applications.
Financial Oversight: Supervise the payment process for royalty advances, external counsel, and notary fees. Draft instruction letters for royalty payments, advances, and recording budgets coordinated by the team.
Budget Management: Manage, prepare, and negotiate budgets for external law firms and notary services.
About You:
Solid Experience: 5+ years of proven track record in Business Affairs or Legal roles, preferably within the entertainment, music, or media industries.
Contract & Negotiation Expertise: Deep proficiency in drafting, reviewing, and negotiating complex contracts (artistic, production, sync, distribution, work-for-hire, advertising, and services).
Leadership: Demonstrated ability to guide, supervise, and enhance team performance.
Strategic Vision & Risk Mitigation: Ability to provide proactive legal advice that supports business goals, anticipates contingencies, and adapts global policies to local laws.
Process-Oriented: Rigorous approach to the contract lifecycle, ensuring proper documentation, signing, and safeguarding of all group legal acts.
Languages: Advanced proficiency in both Spanish and English.
